This role focuses on advising emerging growth companies and institutional investors on sophisticated venture capital financings, mergers and acquisitions, and corporate governance matters.

Attorneys are given meaningful responsibility, direct client contact, and the opportunity to supervise junior lawyers while playing a key role in complex corporate transactions.

Key Responsibilities
• Support venture capital financings and mergers and acquisitions involving emerging growth companies.
• Advise clients on a wide range of corporate governance matters.
• Negotiate and manage preferred stock, bridge, and SAFE financings.
• Conduct and oversee due diligence for corporate transactions.
• Supervise and mentor junior attorneys and professional staff.

Qualifications
• 5–8 years of experience in emerging growth, venture capital, and corporate transactional work.
• Prior experience with AmLaw 100 law firms preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Strong deal management skills with the ability to handle multiple matters simultaneously.
• Excellent academic credentials and a demonstrated record of transactional excellence.

• Juris Doctor (J.D.) degree from an accredited law school.
