Job Description
Responsibilities (70% Legal & 30% CS)
• Complying with provisions of the Companies Act, 2013
• Conducting Board / General Meetings, Preparing Agenda, Minutes
• Filing various forms and returns, maintaining records under the Companies Act, 2013
• Complying with FEMA regulations for FDI, Transfer of shares, Repatriation etc.
• Liaisoning with RTA, Depository for shares held in Dematerialised form
• Drafting, vetting, renewal and execution of various contracts, POAs, legal notices, legal replies
• Appointment of and liaisoning with external advocates
• Handle litigation and appear before the courts & tribunals
• Compliance with Pharma laws and filing returns under DPCO, 2013
• Sales and MRP data review for all Pharma Products
• Yearly Return filing under FSSAI regulations
• Managing the In-house Compliance Tool, imparting user trainings, preparing compliance reports
• Registration and renewal of trademarks, Defending Company trade marks
• Coordinating with global trade mark department
• Coordinate with global insurance team, brokers for renewal of insurance policies for company assets
• Yearly update of Asset details on Fresenius Global Portal
• Evaluation of Financial Risks for the Company and Update Risks on Fresenius Global Portal
• Security Admin for Company Online Banking system
• Distributor Management on Company Portal
• Website update as per Companies Act provisions
Qualifications
• Company Secretary with Bachelor's degree in Law (LLB)
• 5+ years of experience in a legal role, preferably within a MNC environment.
Required Skills
• Strong understanding of corporate law, contract law, and regulatory compliance.
• Prior Pharma experience with strong understanding of Drug & Cosmetic Act & DPCO would be preferred.
• Excellent communication and analytical skills
