Job description
Role & responsibilities
I. LEGAL:
1. Contract Management:
• Responsible for tracking and monitoring contract changes, deliverables, correspondence and risks, maintaining associated documentation.
• Drafting appropriate legal documents/contract agreements etc.
• Vetting, reviewing various contract documents for identifying commercial and legal risks in contract documents.
• Research on contractual terms and conditions or other regulations;
• Assists in identifying contract management issues and proposing solutions for approval & Managing Pre & Post contract review.
• Facilitating effective implementation of contracts,
• Assist, Negotiate & structure commercial and legal terms in conjunction with the business & Corporate guidelines.
• Identifying risks of contract and initiate discussion.
• Ensuring efficient, effective and compliant contracts process.
• Monitoring the performance of the various contracts.
2. Litigation Management:
• Managing Corporate Litigation including Arbitration, Civil & Criminal Matters,
• Preparations of briefs, pleadings, Plaint, Written Statements, Affidavits etc. relating to the cases;
• Assess the legal risk that may arise during organization's business activities and ensure that organizations activities comply with applicable laws and regulations
• Interactions with outside counsel, technical experts, jury consultants, paralegals, support staff, and business unit representatives.
• Interaction with the Company Attorney and the Sales group, as and when required.
• Legal advice on routine and highly complex legal matters and/or within specific area of expertise.
• Co-ordinating with Statutory Authorities on the matters relating to the Company;
• Researching and collecting relevant Case-Laws and Materials for the Assigned cases;
• Handling pre litigation issues like drafting Notices for defaulting Partners, Reply Notices of the Customers & Vendors, initiate amicable settlements.
II. REGULATORY:
• Creating Compliance Check-list of all relevant laws/rules/regulations/circulars/notifications /etc., applicable to the industry and business of the company.
• Keep abreast of legislative changes that may affect the organization.
• To ensure Statutory compliance under various laws, as applicable to the organization.
• To train, guide and assist various departments of the company on regulatory compliances and tracking quarterly compliance certification.
• Conduct internal regulatory compliance inspection/audit of various departments of the company/ies at various locations on regulatory intervals and closure of observations and creating reports.
• Support concerned functions in closure of all Regulatory Audits pertaining to legal & regulatory.
• To conduct refresher training and/or educate and sensitize the cross functional teams for improvement in compliances.
• Assess the legal risk that may arise during organization's business activities and ensure that organizations activities comply with applicable laws and regulations
III. GENERAL:
• This being a specialized function the freedom to act within the delegated authority and within the parameters of the legal provisions is available which are effectively put to use.
• Co-ordination activities-
• - Internal: The position is responsible for the effective control and the implementation of the statutory compliance of various rules and regulations affecting the company.
• - External: Coordination with external agencies, Statutory agencies viz, law enforcing agencies and Courts. Besides above co-ordination with the Law firms and advocates should be cordial and effective.
Preferred candidate profile
• Bachelor's Degree in Law (LL.B / B.L) from a recognized Indian University and approved by the Bar Council of India, New Delhi.
• 5-8 years of post-qualification experience.
• Working knowledge in Labour Courts / Tribunals / Conciliations, Labour laws etc.
• Basic knowledge of Practice & Procedure in Civil, Criminal proceedings;
• Drafting both contract and litigation documents.
• Liaison with police, authorities, external legal counsel for a legal opinion on specific issues.
• Candidate must possess excellent verbal and written communication skills.
• Conversant in the use of computers and MS Office Tools.
• Excellent organizational skills with the ability to deliver to set deadlines.
• Excellent Problem solving Good Negotiation Skills; and
• Self-motivated and able to work well under pressure
• Robust Knowledge of Local Laws and Regulations.
• Excellent Written and verbal communications skills to effectively convey legal advice and documentation in commercially sound and relevant manner.
• Sound Judgment and business sense.
• Strong drafting and negotiation skills.
