**Associate - Corporate Legal**
• *Responsibilities**:
- **Draft and review legal documents**: Prepare, revise, and analyze various corporate legal documents, including term sheets, SHA, SSA, ESOPs, convertible notes, fundraise agreements, transactional documents, and M&A documentation.
- **Provide legal advice**: Offer expert legal advice to clients and internal stakeholders regarding corporate governance, regulatory compliance, contractual obligations, and risk management.
- **Transaction support**: Support the legal due diligence process for mergers, acquisitions, and other corporate transactions. Analyse and identify potential legal risks and provide guidance on mitigation strategies.
- **Contract negotiation**: Participate in contract negotiations, ensuring that the organization's interests are protected and contractual terms align with legal requirements and best practices.
- **Compliance monitoring**: Monitor changes in laws and regulations related to corporate governance, securities, and other relevant areas. Advise on compliance requirements and assist in implementing necessary measures to ensure adherence.
- **Legal research**: Conduct legal research to stay updated on relevant laws, regulations, and industry best practices. Provide insights and recommendations based on legal precedents and emerging trends.
- **Risk assessment**: Assess legal risks associated with business decisions and provide proactive strategies to minimize potential liabilities and disputes.
- **Collaboration and coordination**: Work closely with internal teams, including senior management, finance, and human resources, to provide legal support and ensure corporate activities align with legal requirements and best practices.
- **Flexibility and independence**: Demonstrate flexibility with working hours when required and the ability to work independently in analyzing legal provisions and addressing legal challenges.
• *Qualifications and Requirements**:
- Law degree (LLB) with Bar registration.
- Must have completed B.Com or CS as part of academic qualifications.
- Scored above 80% in graduation (preferably B.Com).
- Minimum 2-3 years of corporate law experience in a law firm or in-house legal team.
- Strong working knowledge of Companies Act, FEMA, SEBI regulations, and transaction structuring.
- Proficient in MS Office (Word, Excel, PowerPoint).
- Excellent drafting, communication, and analytical skills.
- Should be independent, detail-oriented, and able to work in a fast-paced and dynamicenvironment and be flexible with working hours.
Pay: ₹240,000.00 - ₹400,000.00 per year
Supplemental Pay:
