One of our clients, is a Singapore Based Startup - Global fully digitized trade finance platform is looking for an ambitious individual with an entrepreneurial spirit to join their growing team
Role Summary:
We are looking for an energised member to join our Legal Unit to help support our client’s growing business. We finance global trade and we need a legal team with a global outlook, that understands and can navigate the complex web of international law. The legal team covers all aspects of our client’s business, including origination and distribution as well as our relationships with vendors and business partners.
Responsibilities:
• Provide legal leadership, support and advice to the business, including:
origination product development – working with the commercial team in exploring new products and/or new jurisdictions;
distribution product development – working with the commercial team in exploring new methods for distributing risk to investors;
supporting existing origination and distribution channels by drafting and reviewing documents;
participating in vendor contract negotiations;
working with the company’s external company secretary; and
regulatory licence applications and compliance.
• Manage the process of engaging external counsel, including effective instructions to external counsel and negotiating appropriate fee structures for the case in question.
• Take responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across the company, including understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and policies.
• Generally procuring that appropriate legal templates are developed and used.
• Ensuring the transaction the company enters are valid and enforceable under the laws of all relevant jurisdictions.
• Ensuring relevant legal matters related to new product and business launches or expansion into a new geography are identified early and appropriately understood.
• Manage legal documentation across the company, ensuring that our agreements with counterparties e.g. service providers, are robust, including to satisfy regulatory and legal requirements, venture policies and minimum legal documentation standards.
• Ensure compliance with applicable laws and regulations relating to the company's business activities, including on international sanctions, anti-money laundering, anti-bribery and corruption, and fraud, and find ways to reduce legal risk for the company
Role specific technical competencies:
Qualifications (training, licences, memberships and certifications):
• Qualified lawyer in a common law jurisdiction with 3-5 years of PQE, of which a minimum of 3 years PQE should have been gained in private practice.
• Strong law degree from a recognised institution.
Experience in some of the following areas:
• structured finance / securitisation;
• technology;
• trade finance;
• capital markets;
• financial services regulation;
• private international law / conflict of laws;
• bank lending;
• tax; and
• insolvency.
• Strong in either (or both) (i) transaction management or (ii) advisory
• Strong research, analytical and drafting skills
• Business acumen
• Ability to work closely and collaboratively with the wider venture team.
