AVP- Legal
Key Responsibilities:
1. Legal Advisory & Risk Management
• Provide expert legal advice to management and business units on diverse matters including commercial, regulatory, civil, and corporate laws.
• Identify potential legal risks and implement strategies for risk mitigation.
• Draft legal opinions and ensure business decisions are legally sound.
2. Contract Management
• Draft, review, and negotiate a wide range of commercial contracts including NDAs, MOUs, vendor agreements, leases, SLAs, and service agreements.
• Ensure contract terms comply with internal policies and applicable laws.
• Maintain contract repository and renewal schedules.
3. Litigation & Dispute Resolution
• Oversee and coordinate with external legal counsel for ongoing litigations, arbitrations, and legal proceedings.
• Represent the company in legal matters before courts, tribunals, and regulatory bodies (as required).
• Maintain litigation MIS and regularly update leadership on progress and risks.
4. Compliance & Regulatory Affairs
• Ensure the organization's adherence to applicable laws, regulations, and industry standards (e.g., Companies Act, SEBI, RBI, IRDAI, IBC, etc.).
• Lead internal legal audits and ensure timely regulatory filings.
• Liaise with statutory and regulatory authorities when required.
5. Corporate Governance
• Assist in board and committee meetings agenda, minutes, statutory registers (in collaboration with Company Secretary, if applicable).
• Support M&A, restructuring, and fundraising activities from a legal standpoint.
• Conduct due diligence for key transactions and partnerships.
6. Team Leadership & Collaboration
• Mentor and supervise junior legal team members and support staff.
• Collaborate closely with finance, compliance, HR, operations, and business development teams on cross-functional legal needs.
