70% Legal and 30% Secretarial Profile.

Qualification - LLB and CS Both required.

Candidate preferred from Mumbai / currently working in Mumbai.

Salary - Upto 45 lpa

Secretarial
• Manage all secretarial matters and compliances relating to the Company, board of directors and shareholders including convening all board and general meetings (AGM/EGM)
• Drafting of agenda, notice, and resolution for all board and general meetings
• Drafting minutes of all board and general meetings
• Maintaining a compliance calendar and filing all statutory documents and returns in a timely manner
• Preparation and maintenance of various statutory books and other records.
• Preparation of annual return, filing of balance sheet & profit & loss in XBRL. Well conversant with MCA-21 i.e. online filing, online inspection with timely filing of all secretarial related statutory returns as per compliance calendar
• Facilitating and ensuring timely KYC for all director registrations on MCA portal including resignation and addition of new director
• Reorganization of company i.e. change in authorized capital, shifting of registered office of the company or any alteration in MOA & AOA
• Handling of various other company matters relating to issue, allotment, transfer, transmission and transportation of shares, issue of share certificates and duplicate share certificates (Including preferential and rights issue, issue of bonus shares), dematerialization of shares, declaration of dividend and creation and modification of charges
• Preparation and drafting of all statutory and due diligence reports (secretarial), 3rd party board/shareholder confirmations as and when requested.
• Provide regular updates on business / laws to the board
• Provide suggestions / advice on all company secretarial affecting the board of directors, shareholders, governance and compliance structure of the Company
• Ensure overall compliance with the Companies Act and all other applicable corporate laws, rules & regulations

Legal
• To assist in drafting and vetting of various agreements and deeds on behalf of the company with third parties
• To coordinate with existing legal consultants in handling various legal matters pertaining to the company and to onboard new legal consultants when required
• Provide efficient, effective legal support services and ensuring compliance by the company with laws governing its operation.
• Ensure the company is legally protected in all its transactions with customers, suppliers, statutory authorities and other third parties.
• Ensure compliance by the company with best corporate governance practices including risk identification and mitigation
• Manage the litigation portfolio of the company
• Support and participation for any due diligence and audit requirements
• Handled all facets of contracting requirement for the business and support functions from proposal preparation, drafting, review, negotiation, closing deals, developing templates, analysing / identifying legal risks and take appropriate actions to mitigate risks and to safeguard Company's interest.
• General legal and regulatory compliance with respect to all laws in respect of the business of the company in retailing, distribution and manufacturing and compliance of requirements of various judicial, quasi-judicial, government, semi-government or autonomous authorities.

Education - LLB and CS Both (Must)
• Strong domain knowledge in legal services and risk management
• Policy development, regulatory compliance, contract negotiations skills
• Good drafting skills
• Good Communication Skills – Written and Spoken (English/Hindi)

Good analytics and reporting skill
