Key Accountabilities:
· Business Enabler - Provide pragmatic and effective legal advice using research tools and interpretation skills to manage legal risk and achieve business objectives. Be a business partner to each business team/support team and establish close working relationship with them. Manage and build relationships with external legal advisers, including ensuring high performance levels and appropriate billing. Co-ordinate with external legal advisers and internal functions and departments in effective closure of transactions.
· Drafting and Negotiation – Work closely with Compliance, CCU, T&M (India + Singapore), DCM to ensure that relevant legal and regulatory requirements are reflected and protected in the legal documentation, transactions and internal procedures, processes, guides and memos. Provide general legal advice, guidance and solutions on legal and regulatory issues to T&M and DCM.
· Anticipate and manage legal risk - Identify, evaluate and address issues of legal risk in transactions related to T&M and DCM.
· Customer Focus - Participate in the development of transparent and legally sound process and policies. Conduct risk reviews and develop procedures designed to reduce legal risk. Develop trust and strong relationships with internal stakeholders.
· Think Strategically – Keep the team and units updated on changes in law.
Job Duties & Responsibilities:
• To draft, review, negotiate, finalize master agreements, credit support annex, GMRA, CDEA, terms and conditions, with counterparties of DBS/ DBIL to facilitate the foreign exchange and derivative activities of T&M India.
• To draft, review, negotiate and finalize documents pertaining to DCM.
• Carry out legal due diligence and authority and capacity check for the master agreements executed by DBS Bank India Limited with its counterparties.
• Review for internal clients and negotiate with external counterparties customer agreements (eg. brokerage, electronic trading, central clearing and vendor agreements).
• Review and/or prepare product term sheets for simple funded and unfunded products.
• Provide responsive, sound, coherent & consistent legal advice on legal, regulatory and contractual issues to internal clients (ie. front, middle and back offices of T&M)
· Work with the Compliance team to ensure effective interpretation and recommendations on regulations and policies affecting the business.
• Establish, review and update internal rules, policies and guidelines to meet best practice regulatory and industry standards for the management of legal and documentary risks.
· Qualified lawyer with post qualification experience (PQE) in T&M and DCM Legal commensurate with the required capabilities detailed above.
· 8-10 years PQE.
· Experience of general commercial banking procedures and practice.
· Good academic grounding.
A Graduate with LLB/ LLM or other recognized legal degree with direct experience in banking or financial services industry.
Technical Competencies
· Extensive financial & technical knowledge of banking and commercial laws.
· Strong technical knowledge ability to grasp new technical areas of law quickly.
· Knowledge on all related laws and regulations in India especially laws governing T&M products and derivatives RBI, SEBI, FEDAI, FIMMDA, NSE, BSE, NSDL, CDSL, etc. and general corporate laws.
· Sound knowledge of the overall banking environment with specific emphasis to T&M related regulations.
· Must have overview of the applicability of various statutes/ laws applicable
