Te Whiwhinga mahi - The Opportunity - Board Secretary
The Board Secretariat team is responsible for ensuring governance documentation is accurate and sufficient to meet all governance and legal requirements. This role enables authorised persons to determine when, how, and by whom the Board's business was conducted, by accurately recording and making available minutes of meetings, facilitating the submission of well-structured, succinct reports to the Board and performing other duties as required.
As part of the Board Secretariat team, you will work directly with the Board of Directors and Head of Governance to ensure clear, accurate and timely provision of information.
This includes, but is not limited to, timely and qualitative delivery of information, organising, attending and minuting Board and Board Committee meetings, and day to day support to the Head of Governance.
The Board Secretary will provide proactive, professional, high quality strategic advice and executive level support to Board members.
This will include developing, planning and managing annual governance forward programmes, agenda planning and drafting, tracking of actions, and delivering accurate minutes of meetings.
Board Secretariat Key Tasks include:
Lead an effective governance engagement model by developing templates, agendas and, forward programmes as agreed with Board and Committee chairs. Ensure the Committee model and delegated financial and non-financial authority framework optimises decision making
Coordinate, attend and record Board and Board Committee meetings (circa 30 per year), Board workshops and site visits as required
Ensure Board and Committee meetings are delivered in a highly professional manner and enhance the reputation of the organisation
Review reports to ensure they are well structured and concise to facilitate robust discussion.
Ensure the Head of Governance is fully informed on priority issues, researching and preparing background material where necessary
Ko koe tēnei | About you
Board Governance and Secretariat experience (either in the Private or Public sector).
Experienced minute taker.
Advanced experience of Microsoft Office, particularly Outlook, Word, PowerPoint and Teams.
Proficient in SharePoint and board document software solutions.
