Title: Chief Financial Officer
Department: Accounting
Reports to: CEO
Overview:
Responsible for financial functions of the Bank and Holding Company, including all accounting and financial reporting. Oversees and assists in the development of financial, statistical, and profitability reports in accordance with the appropriate accounting principles (GAAP) and standards.
Essential Duties:
Prepare, review and sign all SEC filings (10-K, 10-Q, 11-K, 8-K, etc.)
Prepare and review investor communications including press releases, investor conference materials, and proxy statements
Review annual GAAP and SEC disclosure checklists
Organize and lead the testing of internal controls over financial reporting (Sarbanes-Oxley or SOX testing)
Responsible for coordinating the completion of the annual Company-wide internal audit plan and risk assessment
Responsible for presenting financial and branch/operations reports at the monthly Board meetings. Prepare meeting minutes
Act as main contact for regulators, external and internal auditors. Support internal audit function including planning audits; collecting, examining and evaluating information; communicating the results of audit work; and following up to ascertain that appropriate action is taken on reported audit findings
Assist the external accounting firm in performing requested audit procedures in connection with their financial audit of the Company
Manage funding liquidity sources and interest rate derivative products
Oversee monthly and year-end close process and monthly Board reporting
Responsible for preparing annual budget and any updates as needed
Responsible for preparing annual business/strategic plans and any updates as needed
Act as primary contact for Registrar, maintain shareholder records, plan and prepare proxies and shareholder letter and information for annual shareholders meeting. Make quarterly dividend payments
Upload monthly FRB Borrower in custody reports
Act as Assistant Secretary to Bank and Holding Company. Prepare quarterly Holding Company meeting agenda and prepare and maintain meeting minutes
Assist with negotiations of new and renewal leases for bank locations
Renew annual Corporate Registration for Bank and Holding Company
Track and process NMLS license renewals
Review and sign Call Reports prior to filing
Assist ISO in establishing and maintaining information security standards and procedures in compliance with FFIEC information security and risk management policies, standards and guidelines.
Work with Bank’s insurance agent as needed to provide requested information and complete applications to renew bank insurance policies, ie, Banker’s liability and Bond insurance, property insurance, General Liability, etc.
Prepare responses to audits and examinations
Prepare news releases as needed
Act as one of two people in bank authorized to participate in Medallion Stamp Signature guarantee program
Prepare shareholder notices as needed
Assist the Chief Compliance Officer with responses to consumer complaints filed with the FDIC
Serve as member of the Management Liquidity/Investment Committee
Act in advisory capacity to Bank Controller on accounting issues
Coordinate and supervise the implementation of CECL and any other new accounting standards
Perform all duties in compliance with BSA/AML regulations and requirements
Obtains adequate data for CIP on all wire and money instrument transactions
Monitors and reports suspicious activity to the BSA Officer
Adheres to Bank’s EEO/AAP policies
Education/Additional Training or Certifications:
Bachelor’s Degree in Accounting/Finance
CPA Preferred
Knowledge/Experience:
Software skills including Microsoft Office, Adobe, Internet, and Email
Fifteen or more years of financial services or banking experience
Thorough understanding of accounting principles and procedures
SEC filing experience
