Lawyers on Demand (LOD) is seeking a Commercial Contracts Manager-Paralegal to support one of our global clients in delivering the highest level of service to internal and external clients alike.
The Commercial Contracts Paralegal provides essential support to the legal team by assisting in the preparation, review, and management of commercial contracts. This role requires a keen understanding of contract law, attention to detail, and strong organizational skills to ensure that agreements are accurate, compliant, and aligned with company objectives.
Key Responsibilities:
Contract Preparation and Review:
• Draft, review, and revise a variety of commercial contracts, including but not limited to, sales agreements, service contracts, licensing agreements, and non-disclosure agreements.
• Ensure contracts are compliant with legal standards and company policies.
• Assist in the negotiation process by preparing summaries of contract terms and conditions.
Contract Management:
• Maintain and manage a centralized repository of all contracts, ensuring documents are easily accessible and up-to-date.
• Track contract expiration dates and renewal deadlines and assist with the renewal process.
• Coordinate with internal stakeholders to gather necessary documentation and approvals.
Legal Research and Compliance:
• Conduct legal research to support contract drafting and review processes.
• Stay updated on relevant laws and regulations affecting commercial contracts and ensure compliance with applicable legal requirements.
Administrative Support:
• Prepare and manage correspondence related to contract matters.
• Assist with internal audits and compliance checks related to contracts.
• Support the legal team with general administrative tasks as needed.
Communication and Coordination:
• Serve as a point of contact for internal departments and external parties regarding contract-related inquiries.
• Collaborate with legal counsel and other departments to resolve contract issues and provide guidance.
Qualifications:
Education:
Associate’s degree or Paralegal Certificate from an accredited institution. Bachelor’s degree in a related field preferred.
Experience:
• 3+ years of law firm or in-house.
• 1-2 years of experience with commercial contracts.
• 1-2 years of experience redlining contracts.
• Proven experience as a paralegal or in a similar role, with a focus on commercial contracts.
• Familiarity with legal terminology and contract management processes.
Skills:
• Strong understanding of contract law and commercial transactions.
• Excellent organizational skills and attention to detail.
• Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and contract management software.
• Effective written and verbal communication skills.
Attributes:
• Ability to work independently and as part of a team.
• Strong problem-solving abilities and analytical skills.
• High level of integrity and professionalism in handling confidential information.
