We are currently seeking an experienced professional to join our team in Bangalore for the role of Company Secretarial Assistant

The Company Secretarial Assistant role holder is responsible for the day to day operations and delivery of the Bangalore based Offshore CG&S team. The incumbent will assist the onshore CGS team(s) to ensure that the HSBC Group entities, their Committees and other relevant governance forums, their Directors, Members and Officers comply with all relevant statutory and regulatory obligations.

Role Holder is accountable for completion of tasks which includes but not limited to:
• To support the provision of company secretarial services to HSBC Group companies
• To actively contribute to the promotion of corporate governance best practice and standards
• To assist the CGS onshore team(s) in supporting the boards of directors of HSBC Group companies and corporate governance frameworks
• To provide support for board and committee meetings including scheduling meetings, developing annual planners,
• preparation of meeting packs, drafting minutes and managing any actions arising.
• To assist the CGS onshore team in the maintenance of statutory registers and the drafting and submission of statutory filings
• To support arrangements for Annual General Meeting(s)
• To draft statutory and/or regulatory documentation relating to corporate entity changes
• To support the CGS onshore team(s) in fulfilling statutory and regulatory reporting requirements of HSBC Group
• To manage the schedule of director share interests
• To prepare regulatory and stock exchange announcements and filings
• To manage and respond to shareholder requests
• To assist with the onboarding of non-executive directors and other relevant individuals to HSBC
• To respond to requests for CGS owned information
• To contribute to the development of strategic and operational objectives of CGS

To be successful in this role, you should meet the following requirements:
• Effective and timely communication of matters requiring consideration and decision to the Boards of Directors and their Committees.
• Active contribution to the development and implementation of corporate governance frameworks and best practice.
• Reliable and timely arrangements made for board and committee meetings, including booking meeting rooms and facilities, preparing agendas, drafting the annual planner, circulating papers in a timely manner and, where appropriate, drafting minutes.
• Following appropriate processes and procedures and understanding statutory and regulatory obligations.
• Maintenance of accurate and complete statutory records on the Group Internal Corporate Database and timely filing of statutory returns with relevant regulatory bodies.
• Accurate and timely input to public disclosures including statutory accounts of HSBC Group companies.
• Providing advice, guidance and support to the Boards of Directors and their Committees, and ensure timely implementation and tracking of Board and Committee decisions on corporate actions.
• Developing and maintaining information flows to and within the Boards of Directors and their Committees.
• Preparing papers and memoranda to the Board of Directors and Committees and communicate appropriate recommendations for action.
• Contributing to the development and implementation of corporate governance best practice, corporate governance frameworks and best practice in accordance with Group standards.
• Supporting the process for the annual review of terms of reference and effectiveness.
• Ensuring costs and expenses are met by the relevant business / cost code wherever possible.
• Suggesting improved processes to increase efficiency, control costs and avoid operational losses within the Department.
• Addressing any areas of concern in conjunction with line management and/or the appropriate department.
• Working closely with and influencing internal stakeholders and SMEs globally.
• Senior stakeholder management (to Board level).
• Delivery of a high quality service with a complex set of activities against the backdrop of both the external legal and regulatory framework and the internal control framework of the Group Standards Manual Working in a pressurized, time sensitive environment. Requirements

What you will need to succeed in the role:
• Company Secretarial or Legal qualification with 1-3 years plus of relevant experience desired
• Ability to effectively engage and negotiate with senior stakeholders, demonstrating considered foresight and highly developed interpersonal skills
• Understanding of theory and tools of Governance
• Outstanding written / verbal communication and presentation skills
• Be change oriented and able to cope with pressure and tight deadlines

• Creative approach to problem solving
• Proven ability to prioritize competing demands.
• Good commercial and financial management ability
