Company Secretary & Head – Compliance & Operations
Department: Legal, Compliance & Operations
Location: Mumbai
Reporting to: CEO
Role Summary:
This is a strategic leadership role in an IRDAI-regulated insurance broking firm, responsible for ensuring robust corporate governance, full regulatory compliance, and efficient operational execution. The position demands expertise in statutory secretarial functions, IRDAI compliance, and day-to-day broking operations, supporting business continuity, risk mitigation, and scalable growth.
Key Responsibilities: Statutory & Secretarial Responsibilities:
Ensure end-to-end compliance with the Companies Act, 2013 and relevant secretarial standards.
Organize and manage Board & Committee Meetings, including agenda preparation, minute drafting, and statutory filings (e.g., MGT-7, AOC-4, DIR-12).
Maintain statutory registers and company records as per applicable legal frameworks.
Handle regulatory filings and communications related to changes in directorship, shareholding, and other corporate actions.
Serve as the primary liaison with the Board of Directors, MCA, IRDAI, and shareholders.
IRDAI & Legal Compliance:
Monitor and implement compliance with IRDAI regulations, circulars, and guidelines applicable to insurance brokers.
Prepare and file periodic returns and reports with IRDAI, MCA, and other regulatory authorities.
Conduct internal compliance audits; initiate corrective and preventive actions.
Ensure organizational adherence to AML/KYC norms, data protection laws, and Fit & Proper Criteria for Directors and Key Management Personnel.
Operations Management – Insurance Broking:
Oversee all core insurance broking operations such as:
Policy issuance
Endorsements
Claims coordination
Renewal management
Develop and implement SOPs to streamline operations, ensure compliance, and enhance client satisfaction.
Lead the generation of MIS reports, reconciliation statements, and performance dashboards across departments.
Coordinate with insurer partners on escalations, settlements, and operational alignment.
Drive digitization and automation initiatives to optimize workflow and reduce manual dependency.
Qualifications & Experience:
Qualified Company Secretary (ACS / FCS) – Mandatory
Graduate or Postgraduate in Law, Commerce, or Business Administration
5–10 years of experience in mid-to-senior roles managing secretarial, legal, and compliance functions
Prior experience in insurance, especially insurance broking, is highly preferred
IRDAI Broker Qualified Person (QP) Certification is an added advantage
Key Skills & Attributes:
Deep knowledge of the Companies Act, IRDAI regulations, FEMA, and corporate governance norms
Experience managing insurance broking operations and ensuring regulatory alignment
Strong analytical, drafting, and communication skills
High level of integrity, ethical decision-making, and risk awareness
Proven ability to lead cross-functional teams and drive operational excellence
