CORPORATE COMPLIANCE AND COMPANY SECRETARIAL:
Handling Secretarial matter for Private / Public limited companies: Including conducting board and general meetings, drafting statutory reports, resolutions, and minutes. Ensures compliance with Company Law, Foreign Exchange, Reserve Bank norms, and other relevant regulatory requirements. Maintains statutory books/registers and files necessary forms and returns. Ensures adherence to secretarial standards and manages CSR compliances. Ensures effective compliance with regulatory policies such as code of conduct, whistleblower policy, POSH, etc. Also handles due diligence for PE and liaises with external auditors for secretarial matters LEGAL
Reviews tenders, Request for Proposals, and similar documents. Reviews all documentation with legal implications prior to signing and implementing. Drafts, finalizes, and guides business teams on special projects to minimize company liability/protect its interests. Creates standard formats for commercial/legal terms, contracts, NDAs, disclaimers, etc. Assists HR Department with employment matters and compliance of regulatory requirements. Interacts with external advocates, internal business teams, and global group companies on legal/contractual matters. Provides efficient legal support to ensure compliance with laws and contract management. Maintains and updates contract/legal database for easy accessibility. Reviews Code of Conduct, privacy policy, terms and conditions for compliance with IT laws. Drafts replies to legal notices and collaborates with external counsel on litigation matters.
