Job Description
Corporate Governance:
Oversee the company’s governance framework and ensure compliance with the statutory requirements of the Companies Act, 2013, and other regulatory authorities (RBI, SEBI, etc.).
Act as the primary liaison between the Board of Directors and the company’s management.
Compliance and Regulatory Reporting:
Ensure compliance with the NBFC regulations as laid down by the Reserve Bank of India (RBI), and other related laws, including filing of necessary returns and reports.
Prepare and file annual returns, financial statements, and other regulatory filings (RBI, SEBI, etc.) in a timely manner.
Monitor developments in regulatory and legal requirements and provide guidance to senior management.
Board & Shareholder Meetings:
Coordinate and organize board meetings, general meetings, and committee meetings, ensuring proper documentation, minutes, and compliance with corporate governance.
Prepare agendas, circulate meeting notices, and maintain statutory records, such as the Register of Members, Directors, and Shareholders.
Legal Documentation and Filings:
Draft and vet legal documents, contracts, and agreements.
Assist in the preparation and submission of corporate filings, statutory forms, and legal paperwork with relevant authorities.
Advisory Role:
Advise management on corporate laws, regulatory changes, and the legal implications of business decisions.
Provide counsel on mergers, acquisitions, joint ventures, and other corporate restructuring matters.
Internal Controls & Audit:
Work closely with the internal audit team to ensure financial and operational compliance with internal policies and external regulatory standards.
Facilitate the process of internal and external audits.
NBFC-Specific Compliance:
Ensure adherence to RBI guidelines and regulations governing NBFCs, such as capital adequacy norms, asset quality, and exposure limits.
Assist in drafting and implementing policies that are aligned with NBFC regulatory frameworks.
