ROLES & RESPONSIBILITY
Maintain statutory registers, records under company law and secretarialstandards
Be the point of contact for seeking legal opinions from the counsel/legaladvisors of the company on important legal matters and advising themanagement on the necessary changes in regulatory compliances andlegislation.
Will be responsible for liaising with various regulators like Registrar ofCompanies, Official SEBI, Liquidators, Stock exchanges, and co-ordination withStatutory, Internal and Secretarial Auditors
Responsible for maintenance and updating statutory records and registers.
Responsible for representing the company before various courts, tribunals andother forums
Ensure that business of the company is conducted in accordance with itsobjects as contained in its memorandum of association.
Ensure that affairs of the company are managed in accordance with its objects contained in the articles of association and the provisions of the CompaniesLaw.
Prepare the agenda in consultation with the Chairperson and the otherdocuments for all the meetings of the Board of Directors.
Arrange with and to call and hold meetings of the Board of Directors and toprepare a correct record of proceedings.
Attend the Board meetings in order to ensure that the legal requirements arefulfilled, and provide such information as are necessary.
Prepare, approve, sign and seal agreements leases, legal forms, and otherofficial documents on the company’s behalf, when authorised by the Board ofDirectors or the executive responsible.
Advice, in conjunctions with the company’s solicitors, the key stakeholders orother executives, in respect of the legal matters, as required.
DESIRED CANDIDATE PROFILE
Qualified Company Secretary from the Institute of Company Secretaries of India with 3-6 years of experience.
Experience in a similar position in a diversified group.
Capability of presenting and managing meetings with top management; andalso influencing their decision-making by initiating appropriate actions
Leadership skills with ability to transfer knowledge and motivate team members
Able to make decisions, plan time and effectively work in a team
Should have excellent interpersonal skills
Strong analytical skills; and innovative and collaborative approach to findingsolutions
Excellent oral and written communication and presentation skills
Ambitious, results-oriented, innovative and stress tolerant.

Job Type: Full-time
Salary: ₹25,000.00 - ₹55,000.00 per month
