Job Description:
We are seeking a seasoned Legal, Compliance & Company Secretary (CS) professional with extensive experience in the FinTech, NBFC, and banking sectors. This role is critical for ensuring legal, regulatory, and corporate governance compliance, while also providing strategic legal counsel to the organization. The ideal candidate should have a deep understanding of the regulatory landscape in the financial services industry and a proven track record of handling legal and compliance matters in NBFCs and FinTech companies.
Legal:
· Provide expert legal counsel on a broad spectrum of issues including corporate law, regulatory matters, and commercial contracts.
· Draft, review, and negotiate legal agreements with clients, partners, and vendors.
· Manage legal disputes and liaise with external legal counsel when necessary.
· Ensure the company’s operations are in compliance with all relevant laws, regulations, and industry standards, particularly those applicable to FinTech, NBFC, and banking.
· Advise management on legal risks associated with business strategies and operations.
Compliance:
· Develop and maintain a robust compliance framework in line with the regulations governing NBFCs, FinTech companies, and banking institutions.
· Monitor and ensure compliance with RBI, SEBI, and other regulatory bodies' guidelines.
· Keep the organization informed about regulatory changes and implement necessary adjustments to internal policies.
· Conduct regular compliance audits to identify and mitigate potential risks.
· Manage regulatory filings, inspections, and reports, serving as the primary point of contact with regulatory authorities.
Company Secretary:
· Ensure compliance with corporate governance practices under the Companies Act, 2013, and other relevant laws.
· Prepare and manage board meetings, annual general meetings, and other company meetings, including the drafting of agendas, minutes, and resolutions.
· Maintain statutory records and registers as required by law.
· Oversee the filing of necessary returns and reports with the Registrar of Companies (RoC) and other regulatory bodies.
· Provide guidance on secretarial matters to the board of directors and senior management.
Qualifications:
· Bachelor’s degree in Law (LLB) is essential; a Master’s degree (LLM) or additional qualifications in finance or business law is a plus.
· Qualified Company Secretary (CS) with active membership in the Institute of Company Secretaries of India (ICSI).
· Minimum [X] years of experience in legal, compliance, and secretarial roles, with a mandatory background in FinTech, NBFC, and banking sectors.
· In-depth knowledge of the regulatory environment for NBFCs, FinTech, and banks.
· Strong skills in contract negotiation, legal drafting, and communication.
· Ability to handle multiple tasks effectively in a fast-paced environment.
