Job Description
The Company Secretary (CS) will be responsible for managing all aspects of corporate governance, regulatory compliance, strategic joint ventures (JVs), and mergers & acquisitions (M&A). This role requires deep expertise in corporate secretarial duties, M&A, ensuring compliance with relevant regulations, and safeguarding the company's future interests during JV discussions. The success ssful candidate will adeptly navigate the complexities of non-disclosure agreements (NDAs), memoranda of understanding (MOUs), and joint venture agreements (JVAs), with a keen eye for detail and strategic foresight.
Key Responsibilities:
Corporate Governance and Compliance:
- Ensure the company complies with all statutory and regulatory requirements.
- Maintain and update statutory books, including registers of members, directors, and secretaries.
- File necessary returns and forms with regulatory bodies such as the Ministry of Corporate Affairs (MCA).
- Organize and prepare agendas for board meetings and annual general meetings (AGMs), and take minutes.
- Advise the board of directors on corporate governance best practices.
Joint Venture Discussions and Negotiations:
- Lead discussions and negotiations related to joint ventures.
- Strategize, draft, and vet JV and M&A deals, focusing on key elements such as board composition, operational control, and technology contributions.
- Safeguard the company's interests and ensure alignment with strategic goals.
- Evaluate and recommend potential JV opportunities.
- Draft, review, and negotiate NDAs, MOUs, and JVAs.
- Negotiate all elements of the JV agreement, including what will be accepted and what will not, who will run the company, board seats, technology, and product contributions.
Equity and Negotiations:
- Manage equity discussions and negotiations with potential partners.
- Defend the company's position and negotiate terms favorable to the company.
- Provide strategic advice on equity-related matters, including technology & product contributions.
M&A Expertise:
- Lead and manage M&A activities, from initial discussions to deal closure.
- Conduct thorough due diligence and risk assessment.
- Develop and execute integration plans post-merger or acquisition.
- Collaborate with financial and legal teams to ensure successful transactions.
Legal and Regulatory Compliance:
- Ensure compliance with all relevant departmental regulations and tax notices.
- Collaborate with the legal team to interpret and negotiate key elements of NDAs, MOUs, and JVAs.
- Develop strategies to address and resolve compliance issues.
Risk Management:
- Identify potential risks associated with corporate activities and develop mitigation strategies.
- Ensure that risk management policies are in place and adhered to.
Stakeholder Management:
- Communicate effectively with internal and external stakeholders.
- Provide clear and reasoned explanations to partners when agreements cannot be reached.
- Build and maintain strong relationships with potential and existing partners.
Strategic Planning:
- Develop and implement strategic plans for JV and M&A activities.
- Stay informed about industry trends and market conditions to identify new opportunities.
- Ensure alignment of JV and M&A activities with the company's long-term goals.
Qualifications:
- Bachelor's degree in Business, Finance, Law, or a related field.
- Professional Qualification - Company Secretary (mandatory), LLB would be a plus.
- Minimum of 12 years of experience in corporate strategy, M&A, or related fields.
- Proven track record of successfully leading at least one M&A transaction.
- Strong knowledge of corporate laws, regulations, and governance standards.
- Excellent analytical and strategic thinking abilities.
- Exceptional communication and interpersonal skills.
- Strong negotiation skills and the ability to navigate complex legal agreements.
- Ability to work effectively in a fast-paced, dynamic environment.
- Strong understanding of regulatory and compliance requirements.
