Job Summary:
The Corporate Legal Associate will work closely with the legal team to provide support in corporate governance, contracts, compliance, and regulatory matters. The ideal candidate will assist with drafting and reviewing legal documents, ensuring adherence to applicable laws and regulations, and providing counsel on corporate legal issues. This role requires strong analytical skills, attention to detail, and the ability to work collaboratively across various departments.
Key Responsibilities:
• Corporate Governance: Assist in managing corporate governance matters, including maintaining corporate records, preparing board resolutions, and ensuring compliance with corporate policies.
• Contract Drafting and Review: Draft, review, and negotiate a wide variety of contracts, including NDAs, service agreements, vendor contracts, and partnership agreements.
• Regulatory Compliance: Monitor and ensure compliance with federal, state, and local laws and regulations relevant to the company’s business operations.
• Mergers & Acquisitions: Provide support on mergers, acquisitions, and other strategic transactions, including conducting due diligence and preparing relevant documentation.
• Legal Research: Conduct legal research on corporate and regulatory issues, providing concise and accurate reports to senior management.
• Litigation Support: Assist with managing litigation matters, including working with outside counsel, gathering necessary documentation, and supporting the discovery process.
• Risk Management: Identify potential legal risks and provide recommendations to mitigate exposure.
• Internal Policies: Assist in the development, implementation, and maintenance of internal policies, procedures, and training programs related to legal compliance.
• Stakeholder Collaboration: Collaborate with internal departments, including finance, HR, and operations, to provide legal guidance on various corporate matters.
• Intellectual Property: Support intellectual property management, including trademarks, copyrights, and patents as required.
Qualifications:
• Education: degree from an accredited law school.
• Bar Admission: Licensed to practice law in the relevant jurisdiction.
• Experience: 1-3 years of experience in corporate law, either in-house or with a law firm.
• Skills:
• Strong knowledge of corporate law and regulatory matters.
• Excellent drafting, negotiation, and communication skills.
• Ability to handle multiple tasks simultaneously and meet deadlines.
• Detail-oriented with strong organizational skills.
• Proficiency in legal research tools and Microsoft Office Suite.
Preferred Qualifications:
• Experience with mergers and acquisitions, securities law, or corporate governance.
• Prior experience in a corporate legal department or large law firm.
