Key Responsibilities

• Support and manage a wide range of M&A and private equity transactions

• Draft and negotiate transaction documents, including purchase agreements and ancillary documents

• Conduct and oversee corporate due diligence processes

• Assist in managing complex deals from inception through closing

• Advise on corporate governance matters and compliance with federal securities laws

• Collaborate with cross-functional teams to deliver integrated transaction support

• Maintain strong client relationships and provide strategic legal guidance

Qualifications

• 3+ years of experience as a Corporate M&A Associate Attorney or similar role

• Strong background in mergers and acquisitions and private equity transactions

• Experience in a mid-sized or large law firm preferred

• Juris Doctor (JD) from an accredited law school with strong academic credentials

• Admission to the Illinois Bar (IL Bar required)

• Excellent drafting, analytical, and negotiation skills

• Strong organizational abilities and ability to manage multiple projects

• Effective communication and interpersonal skills
