Job summary
MLT Aikins is seeking a highly skilled and experienced corporate paralegal to join our expanding team and support our increasing client base. The ideal candidate will have good practical training and experience from working in a busy corporate practice at a business law firm and will have graduated from a recognized legal assistant or paralegal program (equivalencies will be considered).
Candidates must have transactional and drafting experience and be proficient with a corporate database. They must be able to multitask and prioritize workload, pay attention to detail, and have excellent organizational, communication and writing skills. This is a client-based environment, and the corporate paralegals work directly with lawyers and clients on transactions across the firm. The candidate must be able to take instructions, understand corporate transactions and work independently to provide draft documentation.
Responsibilities include:
Attending to online filings with BC Corporate Registries and Corporations Canada
Drafting and filing legal documents for transactions, including incorporations/organizations, dissolutions, extra-provincial registrations, business names, director change filings and other related documents
Drafting documents to change the registered office, issue and transfer shares, document cash dividends, share redemptions, transparency register updates and other corporate resolutions
Conducting minute book reviews and preparing documents to correct minute book deficiencies and complete intake and export of records
Conducting and reviewing corporate searches
Responding to daily inquiries from lawyers and clients; handling day-to-day corporate matters
Updating and maintaining corporate records and minute books, ensuring documents comply with the applicable legislation and are entered into the database
Qualifications include:
Graduate of a recognized legal assistant/paralegal diploma or equivalent
Minimum of two years of experience in a corporate paralegal role
Strong working knowledge and understanding of British Columbia and Federal corporate legislation
Proficient in ALF or another corporate database
Ability to organize and prioritize multiple deadlines, complete tasks under time constraints and work independently
Ability to follow instructions with minimal supervision and thrive in a fast-paced, professional team environment
Advanced computer skills in Word, Excel, Outlook and document management software
Team player with a willingness to collaborate with others on the team
Analytical with the ability to apply concepts
A client-focused approach and commitment to providing exceptional service to internal and external clients; customer service and communication skills are an asset
