About the Team

Our overriding goal is to support the marketing outsourcing business in achieving its strategic aims and mitigate risk whilst assisting in building revenues. Day to day, this translates into providing legal advice, negotiating supplier and client contracts, setting up and managing companies and alternative trading vehicles, corporate, company secretarial, data protection, insurance, and advising on contentious matters.

A key driver of the team is our desire to foster growth and a sustainable business.

Our collective legal expertise includes commercial, corporate, company secretarial, and data protection.

Purpose of the Role

We are looking to recruit a talented, ambitious, and enthusiastic lawyer with between 6 and 8 years of experience for our Global Legal Team in a fast-growing company, which means we get involved with everything that requires legal input within the business – and we think this makes for an interesting and varied role!

The team is headed by two Legal Directors based in London, with three Legal Counsels based in Noida and Mumbai, India, and two contractor Legal Counsels (on reduced hours) supporting from the USA and Switzerland. The team also includes an Assistant Company Secretary based in London and a Data Protection Manager based in Bristol.

We are here to support marketing outsourcing business a commercially focused, robust, and synergized approach. We are the In-House team for such matters as:
• Contracts; NDAs, MSAs, SOWs, DPAs
• Contractual queries; potential disputes
• Corporate compliance and policies
• Company secretarial
• Intellectual Property
• Insurance
• Data protection
• General corporate and commercial legal advice

Our team members support all regions on all legal matters.

The ideal candidate to join our close-knit team will demonstrate involvement in, and a detailed understanding of, drafting a broad range of commercial contracts, a comprehensive awareness of potential issues and pitfalls when negotiating commercial contracts, and a desire to become involved in all legal aspects of the business. Further, candidates should have enthusiasm and understanding in managing corporate tasks, and ensuring our company dealings comply with all relevant laws and regulations while actively helping our company avoid possible legal risks and violations.

Qualifications:
• LLB Law degree or local equivalent qualification to work as a Legal Counsel

Skills, Knowledge, Experience, and Exposure

The candidate must have prior experience working in a Legal Counsel role and a similar fast-paced environment. The position would include:
• Drafting, reviewing and negotiation of commercial agreements (NDA’s, general B2B terms and conditions, client marketing agreements, suppliers and supply chain outsourcing agreements, agency and distribution agreements, warehousing and logistics agreements)
• Support on any contentious matters and/or proceedings
• Support in respect of any corporate projects/mergers & acquisitions
• Reviewing and drafting/updating internal policies
• Involvement in group-wide insurance and renewal processes
• Monitoring and evaluating the Legal budget, including handling invoices for legal fees
• Supporting wider legal activities and projects, ensuring compliance, and identifying and sharing best practices
• Setting quality standards and striving for the continuous improvement of practices, processes, templates, and tools
• Working closely the global Europe, Asia, and US teams as required
• Data protection experience and understanding.

Skills and Experience:
• Commercial law experience gained in private practice and/or in-house
• Ability to draft documents using a commercial, client-focused style
• Experience in corporate legal work, including mergers and acquisitions, would be advantageous
• Other languages would be useful but are not essential
• Excellent written and verbal communication skills
• Excellent organisational and planning skills
• Works co-operatively in a team, sharing information and knowledge
• Solutions-focused, flexible, can-do approach
• A good foundation of legal knowledge
• Ability to work independently and collaboratively with business heads, department leaders and the wider workforce
• Provides a professional, quality service in a timely manner, and responds effectively to requests from clients

Other Skills Required Include:
• Excellent use of Microsoft Office and Internet;
• Fluent in English (verbal and written);
• Experience of maintaining records and can demonstrate their understanding of the importance of this.
