As we continue to expand, we are seeking an experienced and highly motivated In-House Legal Counsel to join our dynamic team.
Position Overview:
The In-House Legal Counsel will play a key role in supporting the company’s day-to-day legal operations. This individual will be responsible for drafting and reviewing contracts, policies, and other legal documents, as well as providing strategic legal guidance in areas of governance and compliance. The ideal candidate will have a strong legal background and experience working within a fast-paced, evolving business environment.
Key Responsibilities:
Contract Drafting and Negotiation: Draft, review, and negotiate contracts, including vendor agreements, partnership agreements, and service contracts, ensuring legal compliance and protecting the company's interests.
Legal Compliance: Work closely with the in-house Compliance team to ensure adherence to industry regulations, privacy laws, and contractual obligations across multiple jurisdictions (Canada, USA, UK).
Policy Development: Create, review, and update internal policies and procedures, ensuring they are in line with current legal and regulatory standards.
Governance Support: Advise on governance issues and corporate structure, including the preparation of board resolutions and corporate filings.
Legal Advice and Risk Management: Provide legal guidance to senior management and various business units on a wide range of topics, including commercial law, intellectual property, data protection, and dispute resolution.
Litigation and Dispute Resolution: Manage external legal counsel for any potential or ongoing litigation and disputes, ensuring favorable outcomes for the company.
General Legal Support: Handle day-to-day legal matters as they arise, offering practical legal solutions to support the company's operations and growth.
Qualifications:
Juris Doctor (JD) or LLB from an accredited law school.
Admission to the Bar in Canada (or the equivalent jurisdiction for the UK and USA).
A minimum of [X] years of experience in a corporate legal environment, ideally within a fast-growing company or digital/lead generation space.
Experience in drafting and negotiating contracts, corporate governance, and compliance matters.
Strong knowledge of privacy laws, data protection regulations, and financial services regulations (Canada, USA, UK).
Excellent communication, negotiation, and interpersonal skills.
Ability to handle multiple tasks and priorities in a fast-paced environment.
Detail-oriented with strong problem-solving abilities and the ability to think strategically.
