Job Description
We are seeking a Governance Assistant to provide high-quality support to our Senior Company Secretaries within a dynamic governance advisory, legal and company secretarial practice. This role is well suited to someone looking to build or further develop a career in corporate governance within a collaborative and highly regarded professional services environment.
Our Corporate Governance practice was established to bridge the gap between traditional company secretarial service providers and M&A-focused corporate law firms. Our offering is specialised and differentiated, with a strong focus on contemporary governance and company secretarial matters delivered through a boutique professional services model.
Key Responsibilities
Reporting to senior members of the Corporate Governance team, your responsibilities will include a mix of board support, company secretarial administration and regulatory compliance activities.
Board Support:
Compile and distribute board papers and prepare for board meetings on behalf of practitioners, including preparation of agendas, shell minutes and action lists.
Draft forms, announcements and other regulatory documents.
Manage the preparation of company secretarial reports.
Company Secretarial Administration:
Maintain statutory registers and provide local agent services for clients.
Manage databases and ensure regulatory compliance.
Participate in system and process improvement initiatives across the team.
Regulatory Compliance:
Complete and submit forms and documentation to regulatory bodies.
Incorporation of entities in accordance with the Corporations Act.
Registration of foreign entities in accordance with the Corporations Act.
This role works closely with clients, internal stakeholders, external advisers and regulators, requiring strong collaboration and communication skills.
About You
You will bring a strong interest in governance and a desire to work in a professional, client-focused environment. You may have experience in a governance, company secretarial, legal or regulated setting and are comfortable managing competing priorities with attention to detail.
Key experience and attributes include:
Experience in a company secretarial or governance role, or as a legal assistant or project coordinator
Exposure to consulting, professional services or regulated environments
Familiarity with electronic board portals and record-keeping systems (e.g. Diligent, Conven, BoardPro)
Strong organisational and prioritisation skills, with the ability to exercise sound judgment
A proactive, solutions-focused mindset
Meticulous attention to detail
Ability to work effectively with a diverse range of stakeholders, including senior executives, clients, advisers and regulators
