Job description
• Filing and Registration: Filing and registering documents including forms, returns, and applications with RoC, Stamp Authority, NSDL, RTA, and RBI for the company.

• Listed Company Compliances: Ensuring stock exchange compliances with respect to securities laws and SEBI Act.

• Meetings: Preparation and circulation of papers for board, committees & shareholders meetings, including notice, agenda, draft resolutions, and taking minutes.

• Conducting Meetings: Conducting board, committee, and shareholders meetings.

• Secretarial Records: Preparation and maintenance of statutory books/registers like Minutes books, charges, members, related party transactions, investments registers, etc.

• Annual Reports: Drafting Annual Report, Directors report, and advising on Sustainability Report.

• Securities Issue Activities: Handling securities issue, allotment activities, de-mat & re-mat of shares, and payment of stamp duty on securities.

• RTA & Depository Handling: Dealing with AGM/EGM conduct and Corporate Actions for Dividend, Issue of Shares, ESOPs.

• FEMA Compliance: Ensuring compliance in relation to FDI under FEMA.

• Communication and Coordination: Managing communication with stock exchanges, Depository, R&TA, RBI, Stamp department, RoC, consultants, lawyers, banks for compliances.

• Insider Trading Compliances: Managing matters under SEBI Insider Trading and SAST Regulations.

• Legal: Handling Trademarks Registration, legal research, advising, IPR searching, and legal disputes-litigations.

• Litigation Support: Providing support with litigation matters including liaising with litigators, vetting legal documents, attending court hearings, etc.

• Contract Management: Handling contract life cycle, drafting agreements, communication with stakeholders, and maintaining records.

• Policies and Code of Conducts Drafting: Drafting policies like CSR Policy, nomination committee policy, Risk Management Policy, etc.

• Mergers & Acquisitions/Private Equity: Handling due diligence, M&A deals, reviewing documents in PE transactions, etc.

• Corporate Social Responsibility: Visiting CSR Projects, identifying projects, screening proposals, compiling compliance reports, impact analysis, etc.
