Job Description
Mergers & Acquisitions and Transaction Management: Lead and execute end-to-end M&A transactions—conduct due diligence, draft and negotiate key agreements (SPAs, SHAs, SSAs), and manage deal closure for both domestic and cross-border deals.
• Financing and Strategic Structuring: Manage financing transactions including acquisition finance, project finance, and bond issuances. Draft and negotiate financing and security documentation while supporting corporate structuring initiatives.
• Regulatory and Legal Advisory: Provide legal advice across a wide range of regulatory matters including FDI, FEMA, ODI, IBC, and corporate governance. Work in tandem with external counsel and multi-functional internal teams for legal compliance and risk mitigation.
• Collaboration, Documentation, and Governance: Collaborate across business, finance, and legal teams; maintain M&A playbooks, templates, and SOPs; and ensure consistency and efficiency in deal execution and legal compliance.
Ideal Candidate:
• Law graduate with 6–13 years of post-qualification experience.
• Strong experience in M&A, financing, and corporate transactions, ideally with exposure in both law firm and in-house environments.
• In-depth knowledge of deal structuring, legal documentation, and regulatory frameworks.
• Excellent drafting, negotiation, and communication skills.
• Commercially astute, detail-oriented, and adept at handling high-value, high-impact deals independently.
