About Our Client
Leading Manufacturing player in India seeks a seasoned professional to support their secretarial and legal functions.
Job Description
Maintain close working relationships with Stock Exchanges, listed companies, and IPO handlers, ensuring seamless coordination with Depositories, Merchant Bankers, and RTA.
Manage the upkeep of secretarial records, statutory books, and company registers, ensuring accuracy and compliance.
Arrange board/general meetings and prepare minutes, ensuring transparency and accountability.
Closure of action items arising from Board and Committee meetings, with systematic reporting to stakeholders.
Coordinate loan documentation, registration of charges, status reports, and search reports.
Communicate effectively with Shareholders, Stakeholders, Government agencies, Regulators, and Authorities.
Ensure timely completion of Statutory Compliances related to Companies Act and other applicable Acts.
Support Secretarial Audit/Internal Audit/Annual Report assignments, liaise with Independent Directors, External Regulatory Authorities, and Service Providers.
Provide expert advice on a wide range of legal activities, including drafting and negotiating vendor contracts.
Advise on general business law issues and manage legal matters across corporate, procurement, safety, security, insurance, and sustainability areas.
Anticipate and mitigate (legal) risks associated with business strategy and operations, ensuring compliance with relevant laws and regulations.
Utilize expertise in M&A transactions (legal due diligence, documentation drafting & negotiation) and financing deals.
Coordinate compliance-related activities at Plants/Factories.
The Successful Candidate
Must possess excellent communication and leadership skills, with a minimum of 10-12 years of experience in a similar role. Preference will be given to candidates based out of Mumbai.
