Job description
Position: Legal Manager
Location: Corporate Office, Gurgaon, Haryana, India
Reporting to: Director, Strategy and CEO
The Senior Manager will lead the in-house legal function and should be comfortable working in a fast-paced environment.
Key Responsibilities:
1. Collaborating with business verticals and taking the lead in developing business contracts, maintaining compliances, and interpreting laws governing the company’s activities
2. Providing legal advice and guidance to internal stakeholders by anticipating and evaluating potential legal challenges
3. Formulating legal strategies for the company to ensure its interest is effectively safeguarded and legal obligations are carried out effectively
4. Liaising with external legal consultants to implement strategies and ensuring adequate monitoring
5. Interfacing with internal and external stakeholders to drive legal negotiations and dispute resolutions
6. Drafting, reviewing and approving policies and procedures of the company
7. Developing and managing annual legal budgets for the company and performing periodic cost and productivity analyses
8. Creating awareness in the company of relevant laws and regulations
Required Qualifications:
1. Graduate or Post-Graduate in Law from a reputed university
2. Minimum 10 years’ experience in legal roles with a minimum of 3 years’ managerial experience in the legal function of a corporate
3. Solid organizational skills including attention to detail and multi-tasking skills
4. Strong legal document drafting skills
5. Excellent English language skills
Preferred Qualifications:
1. Exposure to managing litigation
2. Experience in healthcare, agriculture or industrial setups
3. Knowledge of laws in South Asian and Middle Eastern countries

What we are looking for :
Role : Legal Associate
We are looking for a passionate legal mind with experience in AIF regulations and supporting fund transactions. You would be responsible for taking ownership of the entire lifecycle of PE / VC investment transactions whilst supporting other legal functions.
Location : Bangalore
Experience Required : 3-4 years experience in a reputed law firm working on AIF regulations
What you’ll do :
• Vetting / drafting of various transactional documents such as : Share Purchase Agreement, Share Subscription Agreement, Shareholders Agreement, Investment Agreements, Term Sheets.
• Vetting / drafting of various other commercial agreements such as Master Service Agreements, Customer and Vendor Agreements, License Agreements, IP Agreements, Licensing Agreements, SAAS Agreements, Purchase Orders, Proposals, etc.
• Manage all stages of the investment process, including advising on instruments from investment, legal DD, transaction documentation, negotiations, execution and negotiations with relevant stakeholders.
• Conduct and lead the legal due diligence for investee companies;
• M&A activities- structuring from regulatory perspective, preparing transaction documents, coordination with various teams, review of transaction documents related to the aforementioned structuring, implementation and compliance.
• Coordination with various stakeholders for transaction closure.
• The role involves applicability of regulatory laws (Companies Act, Competition Act, SEBI, FEMA, corporate laws, stamp duty, IP etc
Our ideal candidate :
• 3 years of minimum experience working in a reputed law firm; with atleast 2 years of experience in AIF regulations and supporting fund transactions
• LLB / LLM;
• Experience on drafting of definitive documents for M&A and PE / VC investment transactions is mandatory;
• Experience on conducting Due-Diligence on target companies for PE / VC investment transactions is mandatory;
• General corporate experience in advisory and vetting / drafting of commercial agreements is mandatory;
• Excellent written and verbal communication;
• Eye for detail; and
• Strong interpersonal skills.
