Responsibilities
• Basic Negotiation Skills: Entry-level negotiation skills to assist in contract discussions under the guidance of more experienced professionals.
• Contract Review: Independently draft, review, and negotiate a variety of contracts, including NDAs, MSAs, PSAs, vendor agreements, partner agreements, and other business-related contracts. Handle employee-related contracts such as termination, severance, mutual separation, and data protection agreements. Define standard contractual clauses and design approval mechanisms for exceptions.
• Corporate Legal Advisory and Risk Management: Provide professional legal advice, develop strategies, and manage risks related to corporate commercial matters. Take ownership of corporate compliance and legal issues, ensuring alignment with legal and regulatory requirements.
• Data Protection Expertise: An awareness of basic data privacy concepts, such as personal data, consent, and data protection laws like GDPR and CCPA.Utilize experience with data protection frameworks across different geographies to navigate the complexities of data privacy and protection. Support the company's global expansion by ensuring compliance with data protection regulations.
• Trademark Management: Manage trademark-related requests and queries by working with external parties. Oversee trademark-related issues and ensure proper handling of requests.
• Training and Development: Develop and conduct training programs for non-legal functions on topics such as contractual obligations, intellectual property, and marketing law issues. Ensure that non-legal staff are well-informed on relevant legal matters.
Qualifications and Skills:
• Lawyer with business acumen.
• Candidates must be able to work in a very fast-paced environment.
• Familiar with SAAS business environment.
• A minimum of two years of experience in a Law firm or in-house counsel (candidates with prior in-house experience in SAAS Companies would be preferred).
• Excellent command of both spoken and written English.
