Position Overview
Rx100 Ventures is seeking a meticulous and proactive Legal Professional to join our team and take charge of corporate governance and statutory compliance. This role involves ensuring robust legal documentation, maintaining compliance standards, and providing strategic support to management on structuring, contracts, and governance matters. The ideal candidate will be detail-driven, highly organized, and eager to contribute to a fast-paced and innovation-led environment.
Key Responsibilities
• Draft, review, and negotiate commercial contracts, inter-company agreements, service agreements, and governance documents.
• Develop and maintain standardized templates for Shareholder Agreement, NDAs, MoUs, service arrangements, and inter-entity documentation.
• Ensure that all contracts are legally robust, risk-mitigated, and aligned with business intent.
• Lead legal structuring and documentation for new entities, SPVs, and foundations.
• Draft and maintain constitutional and governance documents such as Charters, By-laws, and Strategic Oversight Agreements.
• Ensure proper documentation of delegation, accountability, and oversight frameworks between entities.
• Identify legal and operational risks; advise management on mitigating mechanisms and best practices.
• Review and implement internal controls and compliance policies to strengthen legal resilience.
• Support management in cross-border structuring, IP protection, and transaction-related documentation.
• Provide legal input on commercial contracts, business transactions, partnerships, and regulatory frameworks.
• Maintain accurate legal records and oversee document management systems.
Requirements
• Bachelor's or Master's degree in Law; Company Secretary qualification preferred.
• 4–8 years of experience in legal, compliance, or governance roles with exposure to international projects or group structures.
• Strong knowledge of Indian corporate laws and regulatory compliance
• Excellent drafting, documentation, and record-keeping skills
• Ability to manage multiple deadlines and interact confidently with stakeholders
• High level of integrity, discretion, and attention to detail
• Ability to independently manage multiple projects and coordinate across functions and jurisdictions.
