The Role

We’re looking for an exceptional Company Secretary to join our Mumbai office. Reporting to the Legal Counsel, CMR Surgical. The successful candidate will be able to act as a Company Secretary of CMR Surgical India Private Limited.

Responsibilities

Every day will be different, but some of your responsibilities will include:

Company Secretary:
• To represent the Company and the Directors before the Ministry of Corporate Affairs and various statutory and government authorities.
• To advise the Board of Directors on Legal and statutory matters.
• To interact with the CMR UK on Secretarial Matters.
• To convene, attend and represent as Company Secretary in the Board meetings, Committee shareholders meetings.
• To guide the Board of Directors on various compliances applicable to the Company under the Companies Act and other relevant statutes.
• To maintain statutory records under the Companies Act and other applicable statutes.
• To ensure that the Company adheres to the highest corporate governance standards.
• To communicate with the external stakeholders like Statutory Auditors etc.

Legal:
• Non-Litigation:
• To draft various contracts, agreements relevant to the Companies business.
• To handle end to end Contractual matters of the Company.
• To negotiate with the Customers and Vendors on Contractual matters.
• To guide and support business on day to business issues and make them aware of the legal and contractual risk.
• To support various Functions of the Company on day-to-day legal issues.
• To obtain legal opinions on various matters applicable to the Company.
• To interact with the Global Legal Team on legal issues of the Company.
• Litigation:
• To handle litigations made by or against the Company.
• To frame a strategy for legal disputes by or against the Company
• To issue legal notices to the Customers, vendors; reply to the legal notices etc. for and on behalf of the Company.
• To engage with external legal counsels on litigation/legal disputes
• Regulatory:
• To work closely with Regulatory Team to ensure that Company complies with the statutory requirements.
• Provide necessary guidance to the regulatory team on obtaining various licenses applicable to the Company.
• Compliance:
• To work closely with Compliance and Ethics function to ensure that marketing events, sponsorship complies with statutory requirements.
• To work closely with India and the UK legal and Compliance team and highlight potential red flags, if any in planned business activities.

We’re a rapidly developing company and roles can change and evolve. You’ll be willing to turn your hand to anything within the Legal remit that supports the team with delivering its objectives.

About You

To be successful in this role, you’ll need to have/be:
• B. Com, LLB and Company Secretary experience (with ICSI Membership) with 5-7 years of experience in large multinationals.
• Excellent communication skills, essential for working effectively with diverse teams and to build their network within CMR.
• Proven ability to work independently in a dynamic, fast-paced environment, managing multiple priorities.
• A natural business partner, capable of enabling and supporting business operations effectively.

An ideal candidate would have at least one stint in a medical devices company.
