Job Purpose:
The In-House Legal Manager will be responsible for overseeing all legal matters related to the company's import-export activities. The role involves managing commercial contracts, ensuring compliance with customs regulations, navigating international trade laws (including GAFTA), handling forex-related legalities and dealing with ongoing litigations. The position will require the incumbent to collaborate closely with internal stakeholders to mitigate risks and enable smooth business operations.
Key Responsibilities:
• Commercial Contracts Management: Draft, review, and negotiate a wide range of commercial contracts, including sales agreements, supplier contracts, distribution agreements, and other hypothecation agreements.
• Customs and Compliance: Ensure the company’s operations align with the latest import-export laws, including customs duties, tariffs, and local regulatory changes. Additionally, ensure compliance with applicable laws and best practices for trade agreements and contracts
• International Trade & GAFTA Compliance: Manage legal matters relating to international trade agreements, with a focus on GAFTA (Grain and Feed Trade Association) terms and regulations.
• Forex Legal Issues: Oversee legal aspects related to foreign exchange (forex) regulations, currency fluctuations, and cross-border payments.
• Litigation and Legal Advisory: Oversee the resolution of legal disputes, including litigation, arbitration, and settlement negotiations along with collaborating with external counsel as necessary for representation in legal proceedings. Identify potential legal risks, develop strategies to minimize exposure to legal liabilities and provide proactive legal advice to senior management and internal stakeholders on commercial, legal, and regulatory matters.
• Cross-Functional Collaboration: Work closely with other departments (Sales, OperationsØ Strong experience in commercial contracts, international trade regulations (GAFTA), customs compliance, forex law, and NCLT procedures.
Ø Familiarity with the legal aspects of hypothecation, asset financing, and corporate law.

• Technical Skills:
Ø Deep understanding of commercial contracts, customs and import-export regulations, forex, and international trade laws.
Ø Knowledge of the National Company Law Tribunal (NCLT) processes and insolvency laws.
Ø Proficient in MS Office and legal management software.

Ø Excellent communication skills with the ability to explain complex legal concepts to non-legal stakeholders.
