Job Description

Manager – Corporate Governance, a pivotal role reporting directly to the Chief Legal Officer/Company Secretary. In this exciting 12-month fixed-term position, you will be working on a wide range of impactful initiatives and be instrumental in maintaining the high standards of governance and accountability.

You will support the implementation of our multi-year Member Outcomes and Risk Excellence (MORE) program by working with key stakeholders to design, implement and embed key activities and initiatives to strengthen risk governance, accountability, oversight, risk practices, and risk culture. You will also contribute to the development of robust processes and policies, maintain regulatory filings and ensuring our adherence to legal obligations and supporting our commitment to ethical decision-making and corporate responsibility.

Drive key initiatives such as the whistle-blower program, Modern Slavery Statement preparation, AGM preparation and provide crucial governance training and support to the Board and Executive team. Elevate our governance framework and risk management practices in a dynamic, collaborative environment.

Essential duties and responsibilities will include:
Support the MORE program by working with key stakeholders to design, implement and embed key activities and initiatives to strengthen risk governance, accountability, oversight, risk practices, and risk culture.
Drive the review and enhancement of governance frameworks, policies, and processes.
Support the Board of Directors and its committees, ensuring high-quality meeting materials and governance reviews.
Oversee Board-related regulatory reporting and filings to APRA and ASIC.
Manage a comprehensive governance calendar for critical regulatory deadlines.
Support the development of accountability maps and statements under the Financial Accountability Regime (FAR).
Facilitate the implementation of CPS 511, ensuring compliant and fair remuneration frameworks.
Direct the administration and promotion of the whistleblower program.
Oversee the preparation and submission of the Modern Slavery Statement.
Contribute to TMBL’s operational risk uplift initiative.
Coordinate the preparation and execution of the Annual General Meeting (AGM).
Design and deliver governance and whistleblower training programs.
Foster collaborative relationships with internal teams and external stakeholders, including regulatory bodies.
Ensure all risk and regulatory responsibilities are met.
About You

You are a proactive and detail-oriented professional with a passion for corporate governance. You thrive in a dynamic environment and possess a strong understanding of regulatory requirements, particularly within the financial services sector. You are adept at stakeholder management, capable of delivering impactful training, and committed to fostering a culture of integrity and transparency. You are comfortable with ambiguity, and can adapt to change. You are also a strong communicator, both written and verbal.

The ideal candidate will have the following experience and attributes:
Minimum 5-7 years’ experience in a governance, company secretarial, or legal support role, preferably within a financial institution.
Strong understanding of corporate governance principles, board and committee processes, and regulatory compliance.
Experience preparing board papers, minutes, and maintaining corporate registers.
Familiarity with the Corporations Act, APRA, and ASIC regulatory requirements for ADIs.
Experience with stakeholder management, including board members, executives, and regulators.
Strong understanding of governance frameworks, APRA Prudential Standards, the Financial Accountability Regime (FAR), and whistle-blower obligations.
Experience preparing and managing regulatory filings and governance-related reporting.
Familiarity with the Modern Slavery Act 2018 and experience preparing sustainability reports.
Excellent attention to detail, organisational skills, and the ability to manage competing priorities.
Bachelor’s degree in law, business, governance, or a related discipline.
Tertiary qualification in law, business, governance, or a related discipline.
Familiarity with the Customer Owned Banking Code of Practice and APRA/ASIC compliance (essential).
Experience in a mutual or member-based organisation (desirable).
