Job Title: Manager - Legal & Secretarial

Location: Mumbai- Vikhroli West (6 Days WFO)

Salary: ₹10-12 LPA

Job Summary:

We are seeking a highly skilled Manager - Legal & Secretarial with expertise in managing legal and regulatory matters for a fast-paced startup. The ideal candidate will be responsible for overseeing company compliance, drafting and vetting agreements, and managing investor-related agreements such as Shareholder Agreements (SHA) and Small Shareholder Agreements (SSA). The role also involves court appearances, ensuring adherence to the Companies Act, and handling contracts with suppliers, contractors, and government bodies.

Key Responsibilities:

-Legal experience in drafting legal agreements, vetting, and negotiation with partners and other external stakeholders.

-Compliance Management: Ensure the company complies with relevant laws and regulations, including the Companies Act.

-Drafting & Vetting: Draft, review, and negotiate investor agreements, SHAs, SSAs, lease agreements, and party agreements.

-Manage investor compliance, ensuring proper documentation and fund management as per SHA/SSA agreements.

-Draft and ensure adherence to contractual obligations with contractors, suppliers, and government bodies.

-Handle court appearances for civil and criminal hearings related to the company.

-Ensure compliance with laws and provisions specific to startups.

-Provide strategic legal counsel on corporate governance, funding, and legal issues affecting the startup.

-Liaise with internal and external stakeholders, including fund investors, to manage legal processes.

Key Skills & Qualifications:

-Bachelor’s degree in Law (LLB), with 2-5 years of relevant experience in legal and compliance roles. Additional CS degree is a plus.

-Strong experience in drafting shareholder agreements (SHA), small shareholder agreements (SSA), and investor compliance.

-Excellent knowledge of Companies Act provisions and other relevant laws.

-Experience with civil and criminal law, including court appearances.

-Expertise in drafting and managing lease agreements, contractual agreements, and government contracts.

-Strong understanding of startup laws and compliance requirements for high-growth businesses.

-Excellent communication and negotiation skills.

Preferred:

-Prior experience in handling legal matters for startups.

-Knowledge of corporate governance and fund management
