Our client, a dynamic and rapidly expanding multinational corporation, is seeking a highly accomplished Remote Corporate Counsel specializing in Mergers & Acquisitions (M&A) to join their esteemed legal team. This fully remote position offers the opportunity to play a pivotal role in structuring, negotiating, and closing complex domestic and international M&A transactions. You will provide expert legal advice on all phases of the M&A lifecycle, from due diligence and deal structuring to contract drafting and post-acquisition integration. The ideal candidate is a seasoned M&A lawyer with a strong commercial acumen, exceptional negotiation skills, and the ability to manage multiple high-stakes transactions efficiently in a remote setting.

Responsibilities:
Lead legal aspects of M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments. Conduct comprehensive legal due diligence on target companies, identifying risks and developing mitigation strategies. Draft, negotiate, and review complex transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements. Advise on deal structuring, corporate governance, regulatory compliance, and financing related to M&A activities. Coordinate with external counsel, investment bankers, accountants, and other advisors on transaction matters. Manage post-closing integration activities from a legal perspective. Provide strategic legal counsel to business development and executive teams on potential transactions. Stay abreast of evolving M&A trends, regulatory changes, and legal precedents. Develop and implement standardized M&A processes and playbooks. Manage litigation and dispute resolution arising from M&A transactions, if applicable. Ensure compliance with all relevant securities laws and corporate governance requirements. Assist in the development and implementation of corporate policies and procedures. Prepare board resolutions and other corporate documentation related to M&A activities. Contribute to the overall legal strategy and risk management of the corporation.
Qualifications:
Juris Doctor (JD) or equivalent law degree from a reputable law school. Admitted to practice law in India (or relevant jurisdiction for international M&A). Minimum of 7-10 years of progressive experience in M&A law, either in-house at a corporation or at a top-tier law firm. Demonstrated experience successfully managing complex M&A transactions from start to finish. In-depth knowledge of corporate law, securities law, contract law, and M&A best practices. Exceptional negotiation, drafting, and analytical skills. Strong business acumen and the ability to provide pragmatic, business-oriented legal advice. Excellent communication, interpersonal, and project management skills. Proven ability to work independently, manage competing priorities, and meet tight deadlines in a remote environment. Experience with international M&A transactions is highly preferred. Proficiency with legal research databases and digital collaboration tools. High ethical standards and professional integrity.
