4+ years in the following:
• Securities Reporting/drafting - including S-1, 10-Q's, 10-K's, 8-Q's, etc.
• IPO - Underwriter side representation experience preferred
• IPO - Issuer representation Nasdaq, OTC, NYSE
• Board fiduciary duties, general corporate agreements, board and stockholder actions, miscellaneous contract drafting
• M&A-some experience providing due diligence and drafting support on merger and acquisition transactions.
