We are seeking a highly motivated and experienced Senior Corporate Project Finance Associate Attorney to join our dynamic legal team. Job Details
Responsibilities
• Drafting, reviewing, and negotiating a broad range of complex commercial agreements, including M&A, joint venture, and strategic alliance agreements.
• Advising on debt and tax equity project finance, including structuring, negotiating, and documenting transactions.
• Providing strategic legal advice on corporate governance matters, including fiduciary duties, board governance, and compliance with laws and regulations.
• Assisting with capital raising activities, including private equity and debt financings.
• Collaborating with other members of the legal team and business units to ensure alignment between legal and business strategies.
• Identifying and mitigating legal risks to the company.
• Keeping abreast of relevant legal developments and advising the business accordingly.
Qualifications
• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the State Bar.
• A minimum of 5 years of corporate law experience.
• Proven experience with debt and tax equity project finance and drafting complex transactions.
• Excellent negotiation skills and the ability to manage multiple transactions and projects simultaneously under deadline pressure.
• Strong analytical and problem-solving skills, with the ability to make sound decisions based on a thorough understanding of issues and factors.
• Excellent communication skills, with the ability to clearly and effectively communicate complex legal concepts to non-lawyers.
• High ethical standards and professionalism, with the ability to handle sensitive and confidential information appropriately.
• A strong commitment to client service and a team-oriented approach to work.
