Role Description
The Senior Counsel will provide legal guidance and counsel to managers and teams within the business on a wide range of legal topics. Senior Counsel rely on both generalist legal knowledge and specialist knowledge of specific functional and product-related activities, to support areas such as contract law, documentation, mergers, acquisitions, corporate insolvency, real estate, employment, intellectual property, litigation, policy and regulatory topics. Senior Legal Counsel will typically provide coverage for one or more specific teams within a Division / Location and have responsibility for advising in their functional area(s) of expertise on current or future requirements. The role comprises legal advice, decision of legal questions, creation of legal documents and the communication of legal topics to the business as well as to other colleagues.
Educational qualification
• A minimum of 10 years post-qualification experience
• Bachelors or Master of Laws with a license to practice law in India

Your Key Responsibilities Include
• Identifying legal issues and providing astute legal advice in managing and mitigating legal and regulatory risks as appropriate
• Partnering with the relevant product-aligned colleagues to structure transactions and negotiate terms with potential clients
• Providing assistance in drafting and negotiating pre-trade documents including term sheets, confidentiality agreements, mandate letters, commitment letters, etc.
• Application of regulatory framework to live matters and general legal advisory work
• Ongoing management of netting approvals, including preparation of applications and coordination with the netting committee
• Oversight of external counsel, maintaining excellent relationships with key partner firms
• End-to-end deal execution management from a legal standpoint, including documentation and legal opinion review, transaction and product level approval analyses and sign offs
• Addressing day to day queries from the various IB businesses – including equities broking, fixed income and derivatives, structured credit and IB advisory as and when needed
• Managing legal costs, overseeing billing and cost management for matters handled
Your Skills And Experience
• Working knowledge of banking and finance matters is a must (India market primarily, but cross border lending transaction experience is a plus)
• Experience in the areas of debt financing, fixed income, money markets and derivatives related experience is highly desirable
• Strong understanding of the LMA/APLMA documentation framework and different types of collateral and security arrangements
• Ability to be adaptable, collegiate and a team player
• This role will require a lot of pro-active interaction with business and other infrastructure function colleagues
• Ideal candidate will have excellent drafting, communication and interpersonal skills
