Scope of Work – Senior Legal Executive / Legal Manager (Investments & Compliance)
• Manage and oversee the entire legal process for startup investment deals from term sheet to closure.
• Draft, standardizationotiate investment documents including Term Sheets, SSAs, SHAs, Convertible Notes / CCD Agreements, and related side letters.
• Coordinate with founders, co-investors, internal teams, and external counsels to ensure timely and accurate execution of investment documents.
• Conduct and supervise legal due diligence of prospective investee companies; identify risks and prepare summary or red-flag reports.
• Ensure compliance with applicable laws and regulations under the Companies Act, FEMA, SEBI, and RBI frameworks.
• Oversee post-investment regulatory filings such as PAS-3, MGT-14, FC-GPR, and related company secretarial compliances.
• Manage the process of dematerialisation of shares, coordinate with company secretaries, RTAs, and depositories (NSDL/CDSL), and maintain accurate demat records.
• Maintain updated shareholding data, investment registers, and portfolio compliance trackers.
• Create, maintain, and update standard legal templates including NDAs, advisory agreements, and service contracts.
• Maintain centralized legal documentation and ensure timely compliance tracking, reporting, and version control of executed agreements.
• Advise management on legal risks, governance, and regulatory developments while driving process improvements and standardization across legal operations.
