Job Description
Our client is actively seeking a highly experienced Senior M&A Legal Advisor to provide strategic legal counsel and support for their corporate mergers and acquisitions activities. This role is integral to the firm's growth and expansion efforts, operating out of our office in Jaipur, Rajasthan, IN . The successful candidate will manage complex transactions from inception to closing, ensuring legal compliance, mitigating risks, and maximizing value for the company. Expertise in corporate law, due diligence, and transaction structuring is paramount.
Responsibilities:
Lead and manage all legal aspects of mergers, acquisitions, divestitures, and joint ventures. Conduct comprehensive legal due diligence investigations, identifying potential risks and liabilities. Draft, review, and negotiate key transaction documents, including term sheets, purchase agreements, and shareholder agreements. Advise senior management on legal strategies and potential risks associated with M&A transactions. Coordinate with internal business teams, external legal counsel, financial advisors, and regulatory bodies. Ensure compliance with all relevant securities laws, corporate regulations, and merger control requirements. Structure transactions to optimize legal and tax efficiencies. Oversee post-closing integration matters from a legal perspective. Stay informed about legal and regulatory developments affecting M&A activities. Manage external legal budgets for M&A transactions.
Qualifications:
A law degree (LLB or equivalent) from a reputable institution and admission to the Bar. A minimum of 8 years of experience specializing in mergers and acquisitions law, preferably within a top-tier law firm or as an in-house M&A counsel. Demonstrated track record of successfully managing complex, cross-border M&A transactions. In-depth knowledge of Indian corporate law, securities law, contract law, and regulatory frameworks. Exceptional skills in legal drafting, negotiation, and due diligence. Strong analytical, strategic thinking, and problem-solving abilities. Excellent project management and organizational skills. Superior communication and interpersonal skills, with the ability to build rapport with diverse stakeholders. Ability to work under pressure and meet demanding deadlines. A proactive and results-oriented approach.
