Key Responsibilities
• Provide legal advice and support for all aspects of merchant banking activities, including IPOs, FPOs, rights issues, and private placements.
• Ensure compliance with SEBI regulations, including SEBI ICDR, LODR, and other relevant regulations.
• Draft, review, and negotiate legal documents such as offer documents, contracts, and agreements.
• Liaise with regulatory authorities like SEBI, Stock Exchanges, and other statutory bodies for obtaining necessary approvals.
• Manage legal due diligence processes for clients and transactions.
• Oversee the resolution of legal disputes, litigation, and arbitration related to merchant banking activities.
• Stay updated on the latest legal developments affecting the merchant banking industry.
• Collaborate with internal teams, including Equity Capital Markets, to ensure seamless execution of transactions.
• Provide training and guidance to junior legal team members.
Qualifications
• Bachelor's degree in Law (LLB) from a recognized university (LLM or additional qualifications like CS, CA, or MBA preferred).
• 5+ years of experience in legal roles within the financial services or investment banking sector.
• In-depth knowledge of SEBI regulations, including SEBI ICDR, and experience in handling IPOs and capital market transactions.
• Strong understanding of corporate and securities law.
