Legal Role - CS

Job Details / Role Purpose:

Corporate Secretarial & Compliance:

- Ensuring entire Statutory, Regulatory Compliances as per the Corporate Laws of India and as per the company's Group Standards, Guidelines

- Convening Board & Committee Meetings, Shareholders Meeting as required under Companies Act involving issuance of notices, drafting agenda, recording and maintaining Minutes of Company

- Statutory efilings of various forms viz. Annual Return, Quarterly, Ad-hoc filings with the Registrar of Companies and adherance to the MCA Rules, etc.

- Appointment of a Foreign Directors and related compliances

- Liaison with the Regulatory Authorities, Banks, Registrar of Companies, Regional Director, Ministry of Corporate Affairs, and other statutory authorities

- Compliances applicable on the foreign subsidiary companies as per the RBI and under FEMA Regulations and any other applicable laws

- Participating in Statutory Audits of the company and sister-concern company

- Ensuring implementation and drives group compliance and policies at the local level including Compliance Reviews, General Reviews, Internal Audits, Data Privacy Reviews

- Managing Compliance projects and related compliances within the Business Unit

Legal:

- Monitoring regulatory changes in relevant legislation and the regulatory environment and taking appropriate action, update & preparation of management note on new laws, regulations, its applicability over the Company

- Anti-Trust Coordinator for the India BU

- Pro-actively handle & manage the industrial relations scenario ensuring a peaceful and harmonious working environment with the objective of maintaining a no union situation

- Representation, attending Legal & Court Matters (Civil/Labour/High Court) & appearance before conciliation authorities pertains to organization

- Representing company in the Court hearings for settlement of labour disputes and maintaining cordial relations with Labour Commissioner/Labour Officials

- The candidate will be responsible for advising and assisting in litigation matters.

- In addition candidate will advice and work on corporate, division or business unit matters on a need be basis

- Liaoning with Govt. Departments like Labour dept., PF, ESIC, etc. effective implementation of month by month Labour Law Compliances & also resolving any issues w.r.t. Labour law compliances

- Advice on regulatory matters, strategic issues and assist in maintaining a strong compliance posture of business

- Handle claims against the company, and assists with the preparation for litigation or arbitration proceedings, queries from regulator including the coordination of efforts by corporate staff and outside counsel

- Develops ongoing and future strategies to avoid potentially damaging legal situations regarding contractual matters, product development, marketing strategies, etc. which often involves working closely with internal management teams and in-house counsels representing other countries to ensure appropriate implementation.

Location: Noida

Experience: 1 to 3 Years

Complies with legal, regulatory, and corporate governance requirement. This involves managing legal matters, ensuring compliance with corporate laws, maintaining statutory records.

Key Responsibilities:

Legal Compliance & Advisory:

1. Legal Advisory

- Review and interpret laws, rulings, and regulations.

- Mitigate legal risks through proactive guidance.

- Ensure alignment of legal advice with business goals.

2. Contract Management

- Draft, review, and finalize agreements (commercial contracts, NDAs, vendor agreements, MoUs, etc.).

- Ensure legal soundness, risk mitigation, and regulatory compliance in contracts.

- Maintain a central repository of all legal agreements and track renewal timelines.

3. Compliance & Regulatory Management

- Ensure the organization’s adherence to applicable laws and regulations.

- Conduct regular compliance audits and risk assessments.

- Oversee licensing, filings, and statutory registrations.

- Stay updated with changes in laws that impact the business.

4. Dispute Resolution & Litigation Management

- Handle or oversee legal disputes, litigation, and arbitration matters.

- Coordinate with external counsel and monitor case status.

- Develop strategies to resolve disputes cost-effectively.

- Represent the company in legal proceedings where necessary.

5. Legal Documentation & Record Keeping

- Ensure proper drafting and vetting of legal documents.

- Maintain confidential legal records and ensure their accessibility and security.

- Develop templates and legal documentation frameworks.

6. Risk Management & Policy Development

- Identify potential legal risks and propose strategies to mitigate them.

- Develop and implement company policies and procedures from a legal perspective.

- Conduct training and awareness programs for internal teams on legal best practices.

7. Stakeholder Management

- Liaison with government authorities, regulators, external lawyers, and law firms.

8. Factory License Management

- Ensure timely application and renewal of factory licenses as per the Factory Act.

- Maintain accurate records of all licensing documents and approvals.

- Coordinate with government authorities (Factories Inspectorate, Pollution Control Board, Fire Department, etc.).

- Ensure the factory operates in compliance with state and central laws (Factories Act, Environmental laws, Labour laws).

- Keep track of any changes in regulations and ensure the factory’s operations are updated accordingly.

- Conduct internal audits to check adherence to licensing conditions.

- Prepare and maintain statutory registers, records, and returns under the Factory Act and other applicable laws.

- Ensure timely submission of reports to government departments (accident reports, environmental reports, etc.).

- Maintain digital and physical documentation for audits and inspections.
