Reporting to the Associate General Counsel, Corporate and Securities, the U.S. Corporate Paralegal will be responsible for supporting the corporate services activities for our U.S. entities along with providing support for our U.S. real estate team in acquisition and financing transactions. This position could be based in Calgary, Alberta, Plano, Texas or Sugar Land, Texas.

WHAT WILL YOU DO?
• Lead the preparation of complex corporate legal documents, including formation, organization and annual maintenance documents for US entities, including corporations, limited liability companies (LLCs) and limited partnerships formed in Delaware, state filings and registrations, and all other corporate records for US entities.
• Ensure the accuracy and timely updating of minute books and corporate records for multiple US entities using ALF Corporate.
• Ensure the timely filing of all federal and state filings required in connection with maintaining multiple US entities.
• Prepare closing documents and order certificates of good standing for US entities for real estate transactions, including acquisitions and debt financing transactions, under the supervision of our real estate lawyers.
• Assisting the U.S. real estate team in conducting title searches and other due diligence activities.
• Resolve daily inquiries from business units, providing expert guidance and handling complex day-to-day corporate matters.
• Provide advanced corporate support to the accounting team during external audits, ensuring compliance and accuracy in corporate documentation.
• Offer senior-level support to corporate lawyers, real estate lawyers and other team members, including mentoring junior paralegals and legal assistants and providing strategic advice.

WHAT WILL YOU NEED?
• Minimum of 5-7 years of experience as a corporate paralegal, with a strong background in handling complex corporate legal matters for US entities.
• Paralegal certificate or equivalent education; additional legal education or certifications preferred.
• Exceptional organizational and time-management skills, attention to detail, proficiency in legal research and drafting, and strong communication and interpersonal skills.
• In-depth knowledge of US corporate law, including compliance requirements and regulatory frameworks.
• Proficient in using legal software and tools for document management and corporate record maintenance.
