Technology Holdings Worldwide (TH) is a global boutique investment bank dedicated to delivering world-class M&A and capital-raising advisory services exclusively to technology services, software, consulting, and business process management companies. This role is a fully-remote position, available anywhere in the US.
Vice President Role at Technology Holdings:
We are seeking a Vice President with at least 7 years of relevant Investment Banking/sell-side M&A experience.
Key responsibilities include:
• Originating and leading transaction execution on 4-5 deals simultaneously, with a focus on sell-side mandates.
• Managing multiple deal teams and transactions end-to-end, including the preparation of Information Memorandums and financial models.
• Participating in management/buyer meetings, negotiating offers, and managing the due diligence and transaction documentation process.
• Adopting and improving TH processes and best practices.
• Strong relationships with PE/VC funds and fundraising experience would be an asset, helping TH expand and build a technology and fundraising practice.
Other Key Skills and Attributes:
• Strong communication skills and an understanding of corporate finance.
• Proficiency in financial modeling and valuation techniques.
• Experience in preparing Information Memorandums.
• Ability to multi-task and execute multiple mandates with minimal supervision.
• Ability to negotiate offers, deal structures, transaction documents (including key issues), and all elements of deal consideration in M&A and fundraising processes.
• Team player with the ability to work in a globally dispersed team.
Responsibilities:
• Execute transactions end-to-end, including the preparation of pitches, Information Memorandums, and financial models.
• Conduct target and acquirer screening.
• Participate in management/buyer meetings, handle Q&As, and negotiate offers.
• Assist in drafting and evaluating various legal documents, such as NDAs.
• Facilitate buyer and seller interactions, organizing road shows and conference calls.
• Draft meeting preparatory notes and management questionnaires.
• Manage the due diligence and transaction documentation process.
