Vice President Legal - Corporate Banking

Key responsibilities

Support with the Corporate Finance Unit business relationships and partnering, including acting as business partner lead and production of precedents and guidance notes to enhance team infrastructure

Act as subject matter expert in advising Corporate Banking, Trade and Structured Finance

Represent Legal and Company Secretariat Department where required at various Committees and working group meetings on the Bank’s finance and transactional matters, including those related to non-performing loans

Assist in legal risk management and regulatory projects including drafting and implementation of relevant policies and procedures as needed

Ensure timely reporting and escalation of legal risk and matters as required

Collaborate with and manage external counsel as needed

Supervise and guide junior and mid-level members of the Legal Team working on corporate finance and other matters

Requirements

Degree educated in Law

Solicitor qualified in England and Wales, holding current practising certificate

Demonstrated Banking (in-house) experience is essential which may include long term secondments or consultancy roles

Solid experience in corporate and structured finance matters including leveraged transactions, asset finance (e.g. aviation), real estate finance, project finance and trade finance

Experience advising on inter-bank lending transactions is desirable

Experience of working with compliance is desirable

Experience in report writing to executive management level

Flexibility to apply legal expertise beyond Corporate Finance, with a willingness to support matters in areas such as commercial contracts, litigation, financial crime, cross-border issues, and Retail Banking

Familiar with LMA precedents

Background in/ or good knowledge of trade finance is preferred (e.g. knowledge of UCP 600, LCs (documentary, structured, standby), receivable purchase agreements, BAFT documentation and forfaiting)

Understanding of insolvency laws and frameworks, including experience advising on restructuring or non-performing loan matters is preferable

Background in/or good knowledge in financial services and experience of corporate governance matters and the UK regulatory framework

Excellent communication skills, including the ability to present complex information clearly and accurately
