Key Responsibilities:

- Ensure compliance with the Companies Act, SEBI, RBI, and other statutory and regulatory requirements.

- Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including drafting minutes, agendas, and resolutions.

- Handle Registrar of Companies (ROC) filings, maintain statutory registers, and ensure accurate corporate records.

- Support senior management in corporate governance, regulatory reporting, and secretarial audits.

- Liaise effectively with auditors, regulators, legal counsels, and other stakeholders.

- Draft, review, and vet agreements, contracts, and other legal documents.

- Monitor and ensure timely filings, disclosures, and statutory compliance reports.

- Assist in implementing best practices in corporate governance and risk management.

Required Skills:

- Strong knowledge of company law, SEBI guidelines, RBI regulations, and corporate governance practices.

- Proficiency in drafting minutes, resolutions, and legal documentation.

- Excellent communication, coordination, and stakeholder management skills.

- Attention to detail and ability to manage multiple compliance deadlines.

- Strong analytical and problem-solving abilities.

- Proficiency with MCA/ROC e-filing systems and MS Office tools.

- High ethical standards and a commitment to confidentiality.

Education:

- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

- Bachelors degree in Commerce, Law, or Finance is preferred.

- Additional certifications in corporate governance or compliance will be an added advantage.

Experience: 25 years of post-qualification experience in secretarial and compliance functions, preferably in NBFC, financial services, or listed companies
