Job Summary
The Company Secretary is responsible for ensuring that the company complies with statutory and regulatory requirements, maintains high standards of corporate governance, and supports the Board of Directors in effective decision-making. The role acts as a key link between the Board, management, shareholders, and regulatory authorities.
Key Responsibilities
1. Corporate Governance & Compliance
Ensure compliance with applicable laws, including the Companies Act, 2013 (or relevant local company law).
Monitor and advise the Board on corporate governance best practices.
Maintain statutory registers, records, and filings.
Ensure timely filing of forms and returns with Ministry of Corporate Affairs and other regulatory authorities.
2. Board & Committee Management
Organize Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
Prepare agendas, board papers, and minutes of meetings.
Advise directors on their legal and fiduciary duties.
Facilitate communication between Board members and management.
3. Regulatory & Legal Oversight
Liaise with regulators, government bodies, and external legal advisors.
Ensure compliance with SEBI regulations (for listed companies), including Securities and Exchange Board of India requirements.
Support due diligence, mergers, acquisitions, and restructuring activities.
4. Shareholder Relations
Manage shareholder communication and correspondence.
Oversee dividend distribution and share transfers.
Handle investor grievances and queries.
5. Risk Management & Advisory
Identify compliance risks and recommend mitigation strategies.
Provide legal and strategic advice to senior management.
Implement internal compliance monitoring systems.
Qualifications & Skills
Educational Requirements
Qualified Company Secretary (Member of Institute of Company Secretaries of India).
LLB or additional legal qualification (preferred).
Additional certifications in corporate governance/compliance (advantageous).
Experience
3–10+ years of relevant experience (depending on role level).
Experience in listed companies (preferred for senior roles).
Key Skills
Strong knowledge of corporate laws and regulations.
Excellent drafting and communication skills.
High ethical standards and integrity.
Attention to detail and strong organizational ability.
Ability to handle confidential information.
Job Types: Full-time, Permanent
Pay: ₹1,700,000.00 - ₹1,800,000.00 per year
