Position Summary
THE FOCUS IS YOU
As a Paralegal, you will assist the General Counsel and Compliance Manager with all tasks pertinent to an in-house legal department, as well as in coordination and utilization of outside legal counsel when and as needed.
What You Will Do
Regular duties include (but are not limited to):
• Prepare and file corporate documents, such as articles of incorporation, articles of organization, bylaws, and operating agreements
• Management of corporate records (minutes, stock-ledgers, etc.) for the corporate group – approximately 26 entities
• Assist with the formation and dissolution of corporations, limited liability companies (LLCs), and other business entities
• Assist General Counsel and Compliance Manager with project management, fact gathering and analysis to support legal direction and document production
• Work on special projects as requested which may include partnership with key stakeholders, research, analysis, and presentation preparation
• Drafting of documents and forms necessary or appropriate to facilitate the above tasks
• Maintain renewals or file for new firm permits in individual states where UHY LLP practices public accountancy
• Maintain listing of individual partner CPA licenses
• Ensure regulatory and disciplinary matters requiring reporting to the PCAOB and/or state boards of accountancy are appropriately tracked and communicated to General Counsel
What We Are Looking For
Required Education and Experience
• Bachelor’s degree with a paralegal certification (or equivalent experience)
• Possess at least three (3) years’ experience in a corporate in-house setting
• Demonstrable expertise in all areas of corporate transactional work
• Strong Excel skills
Travel
• Occasional reasonable travel anticipated
