Role : Compliance & Corporate Legal Counsel (UK Region) (AVP Level)
Location : Delhi NCR / Mumbai / Pune / Bangalore / Chennai / Hyderabad
The Compliance & Corporate Legal Counsel will support the Organization's legal entities in the UK Geography.
Job Summary:
The Compliance & Corporate Legal Counsel is responsible for the quality and delivery of all Entity Transactions, Corporate Governance a nd Post-Acquisition integration work for Organization's legal entities in UK, including coordination of complex entity transactions involving multiple countries across , and supervise outside counsel as necessary.
Scope of the Role :
- Manage all corporate entity matters work (eg, intra group reorganizations, share transfers, liquidations, etc.)
- Manage corporate governance including all corporate secretarial activities in support of shareholder and board meetings (eg, prepare board briefing packages , presentations, minute and instruct external advisors on any filings with Companies House (or equivalent))
- Manage due diligence for entity/corporate transactions and projects
- Collaborate with members of Legal, HR, tax, treasury, controllership and other teams
- Coordinate entity transactions related to the acquisition of target groups in or that involve the Market Unit and their integration into Organization's across multiple countries
- Supervise outside counsel and manage legal budgets for different projects
- Leverage internal and external resources with reusable and industrialized knowledge
- Supervise and leverage team responsible for tracking entity information and maintaining entity books and records for all legal entities in Market Unit
Educational Qualification/Work Experience & Skills:
- LLB/LLM with 8 -12 years of experience as an attorney, at least 4 of which involved mergers and acquisitions, entity transactions such as restructurings, share transfers, mergers, liquidation, etc. and corporate governance in a common law jurisdiction; Relevant transactional experience is preferred.
- Strong executive presence and communication skills, and the ability to work effectively with the most senior business leaders and manage board meetings, present on complex transactions/issues, etc.
- Deep understanding of company structures and ability to advise on and implement tax efficient structures alongside our Tax Team
- Excellent understanding of directors liabilities
- Deep knowledge of, or ability to understand, the relevant laws in the Market Unit and other countries and support complex transactions involving multiple countries/legal systems
- Proven track record of successfully managing teams of professionals and external law firms
- Demonstrates excellent judgment, ability to prioritize and make decisions, and identify risks
- Able to manage, counsel, educate, persuade, motivate and supervise legal professionals from various cultures and backgrounds
