Job Description
• Ensure compliance with statutory and regulatory requirements under Companies Act, SEBI regulations, and other applicable laws.
• Maintain statutory registers, records, and filings with the Registrar of Companies (ROC).
2.Board and General Meetings:
• Assist in organizing and preparing for board meetings, annual general meetings (AGMs), and other committee meetings.
• Draft agendas, minutes, and resolutions.
• Corporate Governance:
• Support in ensuring adherence to corporate governance practices.
• Liaise with internal and external stakeholders to ensure compliance.
4.Legal Support:
• Assist in drafting and reviewing agreements, contracts, and other legal documents.
• Provide support in managing litigations and legal matters related to the company.
5.Reporting and Liaisoning:
• Prepare and file annual returns, financial statements, and other required documentation.
• Coordinate with auditors, consultants, and regulatory bodies as required.
6.Policy Management:
• Assist in drafting company policies and ensuring their compliance.
• Monitor changes in relevant legislation and recommend updates to internal processes.
Qualifications:
• Qualified Company Secretary (CS) from ICSI.
• Knowledge of the Companies Act, 2013, SEBI regulations, and related laws.
• Proficiency in MS Office Suite and familiarity with compliance software.
Key Skills:
• Strong attention to detail and organizational skills.
• Excellent verbal and written communication skills.
• Ability to work independently and handle multiple tasks.
• Analytical mindset with problem-solving abilities.
Preferred:
• Internship experience in a corporate environment or under a practicing company secretary.
• Knowledge of accounting and financial reporting principles.
